        국회의원에 의한 내부자거래

        In 2012, U.S. Congress enacted the Stop Trading on Congressional Knowledge Act of 2012(STOCK Act). The purpose of this Act is to prohibit members of Congress or their employees from trading based on material, nonpublic information obtained in the exercise of their official duties. The STOCK Act, however, does not directly prohibit members of Congress from trading based on Congressional knowledge. Instead, the Act reaffirms that member of Congress and employees of Congress owe a duty of trust and confidence to the Congress, the United States Government, and the citizens of the United States. This expectation of trust and confidence is born out of the fact that the U.S. adheres to comprehensive antifraud provisions, such as Section 10(b) of the Securities Exchange Act and Rule 10b-5 thereunder, as well as fiduciary and misappropriation theories when combating insider trading. Thus, if a member of Congress breaches a duty arising from trust and confidence by trading based on Congressional knowledge, his trading constitutes deception and thus will be charged with the violation of Rule 10b-5. Unlike the U.S.’s securities laws, the Korean Financial Investment Services and Capital Markets Act(Captial Markets Act) has specific provisions on use of material, nonpublic information. In particular, Article 174① of the Act prohibits corporate insiders or certain corporate outsiders (i.e., constructive insiders and tippiees) from using material, nonpublic corporate information for their securities transactions. Also, Article 174② and ③ prohibits corporate outsiders from using certain market information (i.e. information regarding the initiation or discontinuance of a tender offer and information regarding acquisition or disposition of stocks, etc. in bulk) for their securities transactions. These provisions, however, cannot cover certain insider trading cases conducted by corporate outsiders, including a member of the National Assembly. Most importantly, the Capital Markets Act cannot cover instances where a member of the National Assembly, as a corporate outsider, uses market information, including legislative information for their securities transactions. One may argue that Article 178① should be used in order to close these regulatory loopholes. In doing so, however, the issue of nulla poena sine lege may be raised. Instead of relying on Article 178①, therefore, this paper calls for revising Article 174 of the Capital Markets Act to close the loopholes.

        전동킥보드 보험에 관한 법적 고찰

        전동킥보드 이용자와 관련 교통사고 건수가 급속도로 증가함에 따라 전동킥보드 사고위험을 담보하는 보험에 대한 관심도 늘어나고 있다. 전동킥보드 보험은 전동킥보드라는 신종 교통수단을 대상으로 하므로 전통적인 교통수단에서와는 다른 새로운 측면의 검토가 필요하다. 본 논문에서는 전동킥보드 보험에 관한 다음과 같은 법적 쟁점을 검토하였다. 첫째, 전동킥보드는 자동차관리법상 이륜 자동차라고 볼 수 있으므로 전동킥보드도 자동차관리법의 적용을 받는 자동차로서 자동차손해배상보장법상 의무보험 가입대상에 해당한다고 볼 수 있다. 둘째, 전동킥보드의 계속적 사용은 상법 제652조의 통지의무의 대상이 된다. 다만, 약관의 설명의무 이행 시 이륜자동차의 계속적 사용이 계약 후 알릴 의무에 해당한다는 점만 설명하면 충분하고, 전동킥보드가 이륜자동차에 해당한다는 점 등 구체적인 예시까지 설명할 필요는 없다. 셋째, 설령 전동킥보드가 책임보험에 가입되어 있지 않았다고 하더라도 무보험자동차에 의한 상해보험의 무보험자동차에 해당하므로 자동차보험에 가입한 피해자의 비용으로 전동킥보드 사고로 인한 피해가 보장될 수 있다. 넷째, 최근 시중에서 판매되고 있는 보험상품을 보면 전동킥보드 이용자가 보행자 등에게 피해를 입혔을 때 적용할 수 있는 배상책임은 보장하고 있지 않다. 전동킥보드 이용자가 가해자이고 보행자가 피해자인 전동킥보드 사고의 증가에 대비하여 전동킥보드 이용자는 누구나 가입할 수 있고 배상책임까지 보장되는 보험상품의 개발이 필요하다. In recent years, the use of personal mobility devices such as electric kick scooters is rapidly spreading. As the number of users of electric kick scooters is increasing, the number of accidents related to electric kick scooters is also increasing. The increase in electric kick scooter accidents has drawn interest in insurance that covers the risk of electric kick scooter accidents. The personal mobility device insurance covers risks caused by a new type of transportation such as electric kick scooters. Therefore, it is necessary to review legal issues in the personal mobility device insurance, which is different from insurance for traditional transportation. This paper examines the following legal issues regarding personal mobility insurance. First, the electric kick scooters fall under the concept of a motorcycle under the Automobile Management Act and are subject to the Motor Vehicle Management Act. Therefore, it can be said that the electric kick scooter users are required to purchase car insurance under the Guarantee of Automobile Accident Compensation Act. Second, the continuous use of electric kick scooters is subject to the duty of notification under Article 652 of the Commercial Act. Although the insurer is required to explain to the policyholder the terms and conditions that the policyholder shall notify the insurer of the continued use of the two-wheeled vehicle, it is not necessary to explain that the two-wheeled vehicle includes personal mobility devices. Third, even if the electric kick scooter is not covered by automobile liability insurance, the electric kick scooter falls under the concept of an uninsured vehicle. Thus, if a person injure another person while driving an electric scooter that is not covered by liability insurance, the Uninsured Automobile Accident Insurance Special Contract can be applied. Fourth, the electric kick scooter insurance currently sold in the market does not include personal and property liability. It is necessary to develop electric kick scooter liability insurance products that cover the case where an electric kick scooter user causes damage to a pedestrian or other people's property.

        Firms often turn to decision support system to support and improve their decision problems. A challenge is how to best utilize the data provided by the software. One approach is to import the data into Decision Support Systems(DSS) to build special-purposed decision aids. The DSS must effectively support decision maker`s daily, monthly and yearly decision problems. Furthermore, DSS provides valuable information for decision problems. This paper concerns an effective and rapid response to unstructured and structured decision problems for HS Food which is meat distributor. Also, through this research, the deriving structured and unstructured decision flows and implementing decision support system focusing on those flows would provide HS Food a distinct competitive advantage.

        상법상 주식 양도담보의 법리에 관한 고찰

        "Mortgage by transfer" refers to a mortgage in which ownership of the property is transferred to the creditor. Establishing a mortgage by transferring shares of stock means that a shareholder transfers the ownership of his stock shares to a creditor in order to guarantee his debts. The shareholder can get back his stock shares when completing fulfillment of his obligations to the creditor. However, if the shareholder does not fulfill his obligations, the creditor can definitely possess the stock or can receive payment in preference to others from it. The ownership of shares is often transferred to the creditor for security purpose. This is because shares of stock have economic value and can be freely transferred. In addition, holding shares of stock as security is more efficient than holding real estate or other personal properties as security because traded shares of stock are considered useful collateral means due to a high degree of marketability. There are two ways of holding shares of stock as security: a right of pledge and a mortgage by transfer. The Korean Commercial Act has specific provisions for pledging of shares, but there is no provision for a mortgage by transfer. However, in practice, a mortgage by transfer is more often used than a right of pledge because the enforcement procedure for the mortgage by transfer is simpler than that for a pledge right. The function of a mortgage by transfer of shares is to give shares as a security. Although parties to a mortgage by transfer externally take the form of transfer of ownership, they do not intend to ultimately transfer their stock ownership. Thus, there is a mismatch between the form and the function of a mortgage by transfer. Due to this mismatch, structural characteries of a mortgage by transfer should be significantly addressed. Therefore, this article introduces theoretical analysis and precedents regarding a mortgage by transfer, and discusses its establishments and effects.

      • 가상 음향 공간 구현에 관한 연구

        본 논문에서는 기존에 제안된 가상음향공간 모델에서 문제점으로 대두된 음향특성을 개선한 새로운 모델을 제안하였다. 제안된 가상음향효과기는 초기 잔향을 위하여 teped delay line을 사용하여 초기반사음 재현에 충실하도록 하였고, 후기 잔향을 위하여 nesed allpass delay line을 이용하여 잔향 밀도를 높이도록 고안되었다. 각 delay line의 지연 시간을 조절하여 가장 좋은 잔향 효과를 갖도록 계수 값들을 추출하였으며, 제안한 알고리즘을 일반 범용 DSP를 이용하여 구현하였으며, 실험 고찰을 통하여 기존에 제시된 모델에서의 임펄스성음에 대한 비선형적인 거친 응답과 frequency 영역에서 고르고 평탄한 잔향 밀도가 개선되어 보다 더 좋은 효과를 보임을 확인하였다.

        문화재 현상변경허용기준 제도개선을 위한 기초연구

        잇따른 세계문화유산 등재 등 우리 문화재의 위상이 날로 높아지는 한편, 국민 의식수준 향상으로 문화재 향유에 대한 관심도이 증가하고 있다. 이에 문화재청은 문화재를 보다 체계적으로 보존 관리 회복하고, 주변 역사문화환경의 경관적 쾌적성확보를 위해 ``현상변경허용기준 제도``를 적극 운영하고 있는데, 현재까지 1,834건의 국가지정문화재의 허용기준이 마련되었고, 전국적으로 시?도지정문화재의 허용기준 작성이 활발히 전개되고 있다. 그럼에도 불구하고, 일부 적용개념의 모호한 정의와 적용 시 지침의 포괄적 해석으로 인해 기준의 일관성확보 및 구체적 행위기준의 근거가 미약하여 행정 투명성 확보의 한계를 나타내고 있어 제도정착을 위한 종합적 개선대책 마련이 시급한 실정이다. 따라서, 본 연구에서는 제도의 전반적인 운용현황을 진단하고, 진단결과에서 나타나는 한계와 개선사항에 대해서 적극적인 대안을 모색함으로써 제도의 효율적인 운용을 위한 기초자료를 마련하였다. 이를 통해, 단기적으로는 제도의 안착과 더불어 문화재행정의 만족도 증진을 통한 역사문화환경 보존지역에 대한 적극적 경관조성정책의 추진을 도모함으로써 보다 쾌적한 역사문화환경의 전기가 마련되길 기대한다. With its growing awareness by public today, along with our heritage gaining higher standing - such as being listed as World Heritage - the needs for managing cultural heritage that meet global standard is required, and public`s interest towards national heritage growing higher, Cultural Heritage Administration is actively pursuing related projects for scenic amenity that include systematic preserve/manage/restore the heritage including surrounding environment, also propose harmonious landscape. 1,834 cases of allowance limit for state-designated cultural heritage change are prepared as part of the plan, and the standards are being expanded actively towards designated cultural heritage across the country, contributing towards administrative efficiency and living conditions of the locals significantly. 11) However, some definitions are unclear and possible complaints might arise when applied due to choice of the law, this research prepares the base material for efficient management of the establishment by diagnosing overall operational status and proposing alternatives towards the limit and improvements after reviewing the result. Through this, we expect to see establishment of policies for better management of cultural heritage and its scenic amenity via maximizing administrative efficiency, whilst positively enhance resident satisfaction around the heritage area as well as settling the regulations in short term.
