This paper proposes that an efficient routing entry sending method between routing controller FE. based on this method, we organize IP VPN support method based on MPLS network and design MPLS-VPN service control module, MPLS-VPN processing, VPN group configuration and LSP setup processing. We evaluate the performance about the VPN based on proposed MPLS, at the result of evaluation. We figure out that based on proposed IPC method, lost packets number reduces and delay increases more slowly in case of VPN based on MPLS comparing with the VPN based on ATM which has rapid delay increasement. Therefore we confirm that the VPN based on MPLS has high speed of packet processing and high utilization of buffers through the performance evaluation. MPLS(Multi-Protocol Label Switching) 도메인의 경계에 위치하는 MPLS LER(Label Edge Router) 시스템은Ingress 또는 Egress 라우터로 동작하여 기존의 인터넷 망과의 접속 역할을 담당하는데, MPLS LER 시스템의 구성요소 중 포워딩 엔진(Forwarding Engine) 장치는 MPLS LER 시스템의 IP 패킷 처리 능력을 좌우하는 핵심적인 역할을 담당한다. MPLS 도메인 위에서 서비스가 이루어지는 가상 사설망(VPN)은 공공의 네트워크를 마치 자신의 사설망처럼 사용할 수 있고, MPLS LER 시스템의 성능에 따라 고 신뢰성 및 QoS 보장 등의 장점으로 인해 인트라넷 구축을 위한 최적의 수단으로 주목받고 있다. 본 논문에서는 전체 MPLS 도메인의 핵심적인 역할을 담당하는 MPLS LER 시스템의 라우팅 컨트롤러와 포워딩 엔진 장치 사이에서 효율적인 라우팅&포워딩 엔트리 제공 방안을 제안하고, 이를 기반으로 MPLS 망에서 IP VPN 지원 방안을 제안한다. 또한 제안한 방안에 따라 MPLS-VPN 서비스를 위해 MPLS-VPN 서비스 제어 기능부와 MPLS-VPN 동작 절차, VPN 그룹 구성 및 LSP 설정 절차를 설계한다.

우리나라에서도 적대적 M&A가 이루어지기 시작했다. 그러나 종래 上場會社의 경영권 보호장치로써 작용하여 온 증권거래법 제200조가 폐지됨에 따라, 국내기업들은 이제 스스로 회사차원에서 방어수단을 강구하지 않으면 안되게 되었다. 이에 本稿에서는 M&A에 대한 商法上의 주요 방어수단과 그 適法性에 관하여 고찰하였다. Hostile M&A begins to happen in Korea, too. But, as a result of the abolishment of the Sec. 200 of the Securities Exchange Act, domestic company must devise the defensive tactics for itself on the level of company. The Sec. 200 has worked to protect the management right of the listed company. So the writer examines the major defensive tactics against M&A and its legality in Korean Commercial Law.

이 글에서는 M&A에 대한 현행법상의 방어행위 제한내용을 살펴보고, 우리 법의 모델이 된 영국 및 EU 등에서의 방어행위 제한에 관한 입법례를 고찰한 뒤, 우리 현행법과 같이 방어수단의 종류를 특정하여 획일적으로 금지하는 데 따르는 문제점을 지적하고, 그 개선방안을 제시하였다. In this article, the witer surveyed the regulation of the defensive tactics against M&A in Korean Law, and studied the foreign laws, such as England law & EU law. And as a conclusion, the wirter pointed out the loopholes in Korean law which prohibits certain defensive tactics uniformly, and suggested its abolishment.

방어행위의 적법성 판단에 관한 국내 판례의 법리- 현대엘리베이터 결정의 재평가 -

This paper aims to revaluate the Hyundai Elevator Case(2003). The Hyundai Elevator Case Law has a very important meaning in Korea. It set up a general standards regarding review of the legality of the defensive tactics for the first time in Korea. In this Case Law, the court considers a various factors in reviewing the legality of the defensive tactics. It includes the motive or purpose of the defensive tactics, interests of company and shareholders, reasonableness of defensive tactics, and the appropriateness of the defensive procedures. It is the writer's opinion that Hyundai Elevator standard is almost the same standard as the Unocal standard. However, at the present time Hyundai Elevator Case Law seems to have little binding on the other case law in Korea. So, the writer suggests that Korean Supreme Court adopt the Hyundai Elevator Case Law as soon as possible. Then it will be the leading case law in Korea, as Unocal case law was in U.S.A. 본 논문에서는 국내에서 현재까지 이루어진 22건의 공개매수에 대하여 몇 가지 기준을 가지고 그 실태를 분석하여 보았다. 그리고 여기서 드러난 문제점을 토대로 몇 가지 개선방안을 제시하였다. 공개매수의 역사가 일천한 관계로 국내 공개매수의 실태는 아직 초보적인 단계에 있다. 그리고 현재는 IMF 사태로 인하여 그마저 소강상태에 있으나, 지금이야말로 과거 국내 공개매수에서 드러난 문제점을 찾아내고, 이에 대한 법제개선방안을 마련할 수 있는 적기라고 생각한다. 결론적으로 공개매수와 관련하여 국내에서 만연된 불법행위를 방지하고 투자자를 보호하기 위해서는 공시제도의 강화, 방어행위에 대한 제한철폐 및 방어수단의 확충, 공개매수가격의 규제 및 공개매수대금 지급의 확보 등의 조치가 이루어져야 한다고 본다. This article analyzes the realities of 22 domestic tender offers announced during 1994-1998 with some standards, and suggest some legislative reforms on the basis of this analysis. Because of it's short history, the realities of domestic tender offers are still at the first stage, and even still the present economic crisis makes domestic tender offer activities come to a lull. But this article emphasizes the fact that present is most opportune for identifying problems revealed from past domestic tender offers, and preparing for a legislative reforms. In conclusion, to prevent the spread of illegality with respect to domestic tender offers and to protect the interests of the investors, this article suggests such legislative reforms as the strengthening of disclosure system, deregulation regarding defensive actions, diversification of defensive tactics, restriction of tender offer price and the guaranty of tender offer payment.

공연장 안전관리 실태 및 개선에 따른 민간경비 역할증대에 관한 연구

본 연구에서는 오늘날 급변하는 사회 정서에 맞추어 사람들의 삶의 질 역시 향상되어 많은 사람들이 다양한 문화 향유의 욕구충족을 위해서 공연 및 행사장을 많이 찾는 현실적 추세에 따라 인명 피해 역시 발생하였으며 또한 피해가 우려되는 상황이다. 따라서 이에 대해 실태분석 및 대책을 마련 해보았다. 공연주최사 및 민간경비의 실태는 실무경험을 바탕으로 사실적으로 분석 · 파악하고 문제점을 진단하였으며, 공연장 안전관리를 위한 양측의 역할을 모색하고 관련기관과의 협력체계의 향상을 시키고자 함에 중점을 두었다. 따라서 실질적인 관람객의 안전보장을 고려하여 공연시작부터 끝나는 시점까지 안전을 위한 효과적인 대책 마련에 대한 각자의 역할을 모색하고 살펴보게 된다.
