자본시장법상 운용제한과 그 유예규정의 해석에 관한 소고 - 제81조 동일종목 10% 한도의 유예규정을 중심으로 -

Han, Junghwan, the author of this thesis, is currently while in the master's course in department of finance law in graduate school of legal affairs in Korea University and works as Chief Compliance Officer at Macquarie Investment Management Korea Co., Ltd. ‘Financial Investment Services and Capital Market Act’(hereafter "FSCMA") and its subsidiary regulations have various rules on investment restriction in order to ensure to comply with diversified investment in fund management. Although diversified investment is very important principle in reducing investment risk in fund management, fund managers sometimes cannot help breaching investment limits due to unavoidable situations out of his or her control(i.e. increase in the price of holding securities). If we formally treat this case as the breach of the limit and simply apply legal effect without considering circumstances, it may constrict fund management unreasonably. Therefore, the need of reasonable interpretation on the breach of investment limits is brought up between the need of diversified investment of the fund and the secure of discretion in fund management. Firstly, we will take a general view of the rules to secure diversified investment under FSCMA, review grace period rules of single issuer 10% rule which would be the core of the rules of diversified investments and conflicting opinions about the interpretation of grace period rules and finally would like to present opinion. 본 논문의 저자인 한정환은 고려대학교 법무대학원 금융법학과 석사과정 재학 중으로, 현재 맥쿼리투자신탁운용 주식회사에서 준법감시인으로 재직 중에 있다. ‘자본시장과 금융투자업에 관한 법률’(이하 ‘자본시장법’) 및 동법 하위규정에서는 펀드운용에 있어서 분산투자 준수를 확보하기 위해 운용제한에 관한 다양한 규정들을 두고 있다. 펀드 운용에 있어 분산투자는 투자위험을 줄이는데 있어 중요한 원칙이기는 하나, 경우에 따라 펀드의 운용역은 자신이 통제할 수 없는 부득이한 사정으로(예, 보유 종목의 가격 상승) 투자한도를 위반하게 되는 경우가 있다. 이러한 경우에도 구체적 사정의 고려 없이 형식적으로 투자한도 위반으로 취급하여 그 법적 효과를 부여한다면, 펀드의 운용이 불합리하게 위축될 수밖에 없다. 여기서, 펀드의 분산투자 요구와 펀드 운용의 재량권 확보 사이에서 펀드의 투자한도 위반에 대한 합리적인 해석 필요성이 제기된다. 먼저 자본시장법상 분산투자를 확보하기 위한 장치로 규정되어 있는 내용을 개관해 보고, 그러한 규정 중 분산투자 규정의 핵심이라 할 수 있는 동일종목 10% 한도의 유예규정의 내용 및 유예규정의 해석과 관련한 견해의 대립을 검토한 후, 이에 대한 의견을 제시하고자 한다.

Hydrogen in atmosphere can easily dissolve in melt of light metal alloys. Increasing demand for recycling of light metal a alloys has, therefore, focused attention on the removal of hydrogen gas, and alloy addition in melt has become an imporLant r refining process. For this purpose behaviors of mixing and hydrogen degassing in impeller agitated refming vessel with/without barnes were investigated. Flow patterns, mixing time behavior and kinetics of degassing in various agitating conditions were analysed in watet model experiments. And, numerical analysis on turbulent flow pattern in impeller agitated vessels was performed.
