기업지배구조 개선에 관한 법적 연구 - 메타버스를 활용한 가상주주총회의 도입과 운영을 중심으로 -

전자주주총회의 도입과 적정 운영방안에 대하여 오랜 기간 동안 논의가 진행되어 왔다. 학계를 비롯하여 실무에서도 전자주주총회에 대한 폭넓은 검토가 이루어졌고 전자주주총회의 도입을 위한 국회의 입법 시도도 줄곧 지속되어 왔다. 이와 관련하여 정부의 입장 역시 긍·부정을 반복하여 왔 으나, 최근에는 전자주주총회를 완전히 수용하는 것으로 선회하였음을 2023년 8월 법무부 입법 예 고를 통하여 확인된다. 그동안 기업에서는 전자주주총회 도입과 관련하여 화색을 표하기도 난색을 표하기도 하였는데, 이는 전자주주총회가 어떠한 유형으로 도입될 것인지에 따른 것이다. 전자주주총회의 개최라 함은, 기존의 현장형 주주총회 외에 온라인 방식의 주주총회를 겸하거나 오로지 온라인 방식의 주주총회 만을 개최하는 것을 의미하는 것인데, 이것과 관련하여서 어떠한 형태의 주주총회까지 허용할 것인 지, 또 온라인 주주총회를 의무화 내지는 강제성을 부여한 형태로 도입할 것인지 등이 문제되어 왔 다. 이것이 기업의 입장에서 관건이 되는 이유는 결국 전자주주총회의 도입 유형에 따라 기업이 발 맞춰 준비해야 할 범위가 달라지고 특히 법적인 위험이 완전히 해소된 전자주주총회 개최가 가능한 것인지를 필수불가결하게 살펴보아야 하기 때문이다. 이에 본고는 전자주주총회 도입과 관련한 법무부의 상법 입법 예고안이 국회 본회의 상정 후 통 과됨을 전제로 하여, 추가적 논의가 필요한 사항에 대하여 제시하였으며 그 결과는 다음과 같다. ① 법무부의 입법예고안은 실무에서 우려하는 쟁점들에 대하여 기업이 선택적으로 전자주주총회를 도입하도록 여러 가지의 방편을 열어준 것이 확인된다. ② 다만 전자주주총회의 운영 및 위탁과 관련한 대부분의 세부사항을 대통령령으로 위임하고 있어서 이것과 관련한 추가적 논의가 진행되어야 할 것이다. ③ 전자주주총회 개최와 관련하여서도 다양한 형태의 전자주주총회를 허용할 것인지에 대하여 논의의 여지가 있다. 예컨대, 기존의 ‘줌’과 같은 동영상 방식 내지는 양방향 음성 대화가 아닌, ‘메타버스’ 형태의 새로운 전자주주총회의 개최도 허용할 것인지와 같은 것이다. 환언하자면, ‘아바타’를 내세운 전자주주총회도 본인인증만 확인된다면 법적인 하자 없이 주주총회가 개최되었 다고 보는 것이 바람직할 것이다. ④ 본인인증과 관련하여서는 외국인 투자 유치와 편의를 위해 주 주 확인 절차를 국제적 스탠스에 맞추어 개정하는 것이 필요하다. ⑤ 전자주주총회의 입장 및 출석 시점은 의결권 행사와 관련하여 중요한 의미가 있는데 법무부 입법예고안은 서면투표와 전자투표로 기 의결한 안건에 대하여 전자주주총회에 참석하여 번복할 수 없도록 정하고 있다. 그러나 다수 회 사의 주주총회에 동시에 출석하는 것에 대하여서는 입법예고안에 규정된 바가 없다. 이에 대한 보 완 내지는 동시 출석을 점전적으로 허용하는 것이 미래세대를 위해서도 보다 합리적일 것으로 사료 된다. Discussions have been underway for a long time on the introduction and appropriate operation of the e-shareholders' meeting. A wide review of the e-shareholders' meeting has been conducted in practice as well as in academia, and legislative attempts by the National Assembly to introduce the e-shareholders' meeting have continued. In this regard, the government's position has also repeatedly been positive and negative, but it is confirmed through the legislative notice of the Ministry of Justice in August 2023 that it has recently turned to fully accepting the e-shareholders' meeting. Companies have been in favor of or against the introduction of the e-shareholders' meeting. This reaction of companies depends on the type of e-shareholders' meeting to be introduced. Holding an electronic shareholders' meeting means holding an online shareholders' meeting or only an online shareholders' meeting in addition to the existing on-site shareholders' meeting. In this regard, there have been questions about what form of shareholders' meeting will be allowed and whether to introduce an online shareholders' meeting in a mandatory or compulsory form. This is important for companies because the scope of preparation varies depending on the type of electronic shareholders' meeting, and in particular, it is indispensable to examine whether it is possible to hold an electronic shareholders' meeting where legal risks have been completely resolved. Therefore, this paper presented matters requiring additional discussion on matters requiring additional discussion on the premise that the Ministry of Justice's legislative preliminary draft of the Commercial Law related to the introduction of the electronic general shareholders' meeting will be passed after being submitted to the plenary session, and the results are as follows. ① It is confirmed that the legislative preliminary draft of the Ministry of Justice has opened various ways for companies to selectively introduce electronic shareholders' meetings on issues of concern in practice. ② However, most details related to the operation and entrustment of the electronic shareholders' meeting are entrusted to the Presidential Decree, so further discussions on this should proceed. ③ Regarding the holding of the electronic shareholders' meeting, there is room for discussion on whether to allow various types of electronic shareholders' meetings. For example, it is the same as whether to allow the holding of a new electronic shareholders' meeting in the form of a 'Metaverse' rather than the existing 'Zoom' or two-way voice conversation. In other words, it would be desirable to assume that the electronic shareholders' meeting under the slogan of 'Avatar' was held without legal defects if only identity authentication was confirmed. ④ Regarding identity authentication, it is necessary to revise the shareholder verification procedure in accordance with the international stance for attracting foreign investment and convenience. ⑤ The position of the electronic general shareholders' meeting and the timing of attendance are important in relation to the exercise of voting rights, and the legislative preliminary draft of the Ministry of Justice stipulates that agendas previously voted by written and electronic voting cannot be reversed by attending the electronic general shareholders' meeting. However, there is no provision in the legislative notice for simultaneous attendance at the general shareholders' meeting of multiple companies. It is believed that it would be more reasonable for future generations to supplement this or allow simultaneous attendance.

통사부와 의미/화용부의 연결고리로서의 의미역

Theta-role plays many important roles in syntax. Theta-criterion, regulating the number of arguments in a sentence, and UTAH, regulating the order of arguments in a sentence, are among them. Also we can appreciate that the passivization and raising construction is governed by the same grammatical rule by means of theta-roles. However, it seems that the role of the theta-role is not restricted to the syntax. Theta-roles might play an important role in connecting syntax and semantics/pragmatics. The role in connecting syntax and semantics/pragmatics played by the theta role can be seen in resultative secondary predicate construction and subject control promise-construction. In both constructions, we can encounter problematic syntactic phenomenon, which can not be accounted for only in syntax. However, such problems can be easily explained in semantics and pragmatics, respectively. Especially, some predicates can not coexist in a resultative secondary predicate construction can be explained by contradiction in semantics and subject control property in promise-construction can be explained by speech act theory in pragmatics. To this end, there must be a grammatical apparatus connecting syntactic component and semantic/pragmatic component. And theta-role might fulfill that role.

Synergetic photocatalytic-activity enhancement of lanthanum doped TiO2 on halloysite nanocomposites for degradation of organic dye

A reusable and efficient photo-catalyst based on halloysites (HNTs) and La3+ ion-doped TiO2nanoparticles was prepared using a sol-gel process and a sonochemical method for decomposingorganic dyes. As a support, the HNTs increased the adsorption efficiency of substrates, improving thephotocatalytic activity of TiO2 nanoparticles by3 times. The La3+ ion doping of TiO2 decreased thebandgap from 3.25 eV to 3.01 eV, expanding the spectral response to the visible region and enhancing thephotocatalytic activity under the sunlight by 1.5 times. Through the integration of the halloysite supportand the La3+ ion doping of TiO2, the synergistic enhancement of photocatalytic activity was observed andsystematically investigated using XRD, Raman spectroscopy, FT-IR, FE-SEM, EDX-TEM, and zeta potential. In this research, we used Rhodamine B molecules as a model pollutant. During the decomposing process,the HNTs enhanced the local dye concentration nearby the photo-catalyst through the electrostaticinteraction, thereby boosting the photocatalytic activity by3 times. Additionally, the catalyst can beseparated by simple centrifugation and reused at leastfive recycles without any activity decrease. Thehalloysite support, the La3+ ion doping of TiO2 and their simple synthesis approach could provide apractical tool for environmental purification in wastewater using sunlight.

Spray-Load 교체구문에서 한정명사구의 전체적 해석을 위한 통사기반 연구

As other alternating verb constructions, there are more than mere difference in the order of internal arguments in Spray-Load alternation constructions. Many semantic/pragmatic differences also can be found between the alternants. One of the differences is that when the argument which takes GOAL/CONTAINER role is an NP, we can interpret that the argument is affected wholly by the argument which is given THEME/CONTAINEE role. In the other alternant, where the argument which takes GOAL/CONTAINER role is an PP, the argument is affected only partially by the other argument which bears THEME/CONTAINEE role. Although some semantic and pragmatic conditions should be met for the holistic reading in the GOAL/CONTAINER NP argument, these conditions alone can not account for the reason that holistic reading can only be found just in one alternant. Ultimately, it can be found that the syntactic structure might be the basis for semantic/pragmatic conditions to be applied to the constructions which might result in the construal difference in two alternants, and thus from the finding it can be conjectured that many semantic/pragmatic phenomenon might depend on the syntactic structures.

Objectives : Woohwangchungsim-won has been used for acute diseases such as cerebrovascular disease (stroke), heart disease. The aim of this study was to determine the effects, significance & necessity of Woohwangchungsim-won in acute stages of these disease by reviewing Korean articles about Woohwangchungsim-won. Methods : Article searches were performed on 8 major Korean web article search engine from January 1980 to August 2010. There were no restrictions on the types of publication, including grey articles. Results : Forty-three articles were included. Twenty one were efficacy tests, thirteen were comparative efficacy tests, eight were toxicity tests, and one was new method development. Eighteen articles were multicenter studies and twenty five were single center studies. Thirty two articles were animal testing, only ten articles were clinical articles. Thirty seven articles presented the composition and quantity of Woohwangchungsim-won, but six did not. Conclusions : The results of Korean articles about Woohwangchungsim-won can not strongly support the effects, significance & necessity of Woohwangchungsim-won. More rigorous studies are required for determination of the effects of Woohwangchungsim-won.

Navigation Signals Based on Orthogonal Tiered Polyphase Code

A navigation signal based on orthogonal tiered polyphase code was proposed. For the proposed signal, tiered polyphase code was used as the code of a pilot channel. Tiered polyphase code is a complex number type code, and thus the pilot channel and data channel were separated using the Walsh code which makes the correlation between different codes become 0. The results of the simulation indicated that the correlation characteristics and signal acquisition performance of the proposed signal were identical to those of tiered polyphase code, and that the disadvantage of tiered polyphase code could be supplemented through a data channel in terms of signal tracking.
