        국제상거래에 있어 신의성실원칙 적용에 관한 사례연구

        Good faith extends far beyond contract and arbitration to all of society. The legal obligation of good faith has existed for a very long time. As early as Roman times, an obligation of good faith was required in commercial transactions. It is regarded as a controversial topic discussion in civil law and common law. Good faith differs in its scope and application depending on which legal traditional governs the particular commercial transaction. Civil law states tend to use a more extensive approach to the good faith obligation applying it to both contract formation and performance. But Common law states prefer a more narrow good faith duty applicable only to contract performance. Dispite the differences on face, the duty of good faith is at its core, very similar through world. This article is examines the last cases related to the good faith to apply in international commercial transaction. First, this article attempts to define the historical background of good faith. Par Ⅱ involves a comprehensive look at the concept of a good faith obligation from the civil and common law perspectives. The focus of Part Ⅲ is good faith in international transactions such as Vienna Convention, PICC, PECL. Part Ⅳanalysis the various the latest Vienna Convention cases concerning Article 7 in detail. The purpose of this article seek for applicability of uniformity when interpreting of good faith in the Vienna Convention.

        …The Internet's powerful functions in the formation, storage, processing and communication of information makes it widely accepted and utilized by the international. It was usually used to keep and transmit information. But now it has been adopted as a principal for business and e-commerce. Nowaday, e-commerce becomes the major way of international trade and influences on the traditional way of international trade.Online technology has found more and more used in traditional dispute resolution systems(arbitration, mediation and etc). So, future direction of the traditional dispute resolution way is going to go online and gradually get accomplished in paperless system. The ongoing reforms starting from the late 1970's have achieved the rapid increase of the international trade and investment in China. It is the increasing number of trade and investment disputes between Chinese firms and foreign traders. Therefor, international arbitration in China is developing rapidly in recent. China's entry into WTO and the development of e-commerce, we can see the promising future of Chinese international commercial arbitration.

      • 전자상거래 사업자의 자율규제 활성화방안

        국제적 특성을 가진 인터넷상의 전자상거래가 증가하면서 거래 과정에서 발생되는 제문제를 해결하기 위한 노력이 국제기구를 비롯하여 선진각국들을 중심으로 이루어져 오고 있다. 그럼에도 불구하고 아직까지 관련 문제들의 해결을 위한 법률제정이나 개정이 완료된 것은 아니다. 인터넷이 가지는 개방성, 국제성의 특징을 고려하여 전자상거래의 발전과 함께 소비자보호가 균형을 유지할 수 있는 효율적인 규제방식이 요구되고 있다. 이런 상황에서 최근 규제방식 중 하나인 자율규제가 소비자를 보호하는데 중요한 역할을 하는 것으로 인식되고 있다. 사업자의 자율규제가 정부영역에 의한 직접규제의 비효율성을 제거하는 대안이지만, 사업자의 자율규제만으로 소비자보호가 달성될 수는 없다. 따라서 전자상거래 사업자 자율규제의 효율성을 확보하기 위해서는 우선 자율규제 시스템 구축을 위해 정부간, 정부와 민간부문간, 민간부문간의 공동규제(co-regulation)방식이 절실히 필요하다. It is clear that the electronic or digital era is changing the roles of the government and the private sector. New technological developments will mean the private sector has a greater role in resolving some of the potential obstacles or market failures that electronic commerce raises. Direct government regulation - while sometimes necessary - often is not the best solution to consumer protection problems. Self-regulation can be an extremely effective way to protect consumers, particularly when it is complemented by carefully selected government law enforcement actions. We need to use all the tools available to us - consumer and business education, self-regulation by industry groups, and, when necessary, law enforcement action. But coordination of such solutions could be achieved by industry self-regulation. However, government input should, when required, consist of simple and predictable legal tools that are sensitive to the technology and to the pace of change.

        우리나라 중소무역업체의 무역거래조건 사용실태와 문제점에 관한 연구

        Incoterms has been revised seven times to reflect contemporary trading practices since it was published in 1936 for the first time. These revisions were done to reflect current changes in international customs and to avoid or reduce the uncertainties caused by different interpretation of a particular trade terms. The latest major change in the Incoterms rules is the separation of the place-to-place delivery terms as multimodal from the delivery that are simply port-to-port as maritime terms. Nonetheless, up to now many Incoterms rules including FOB, CFR, CIF (traditional terms) rather than multimodal terms (FCA, CPT, CIP), continues to be misused and misunderstood by international trading partners. The misuse of trade terms is a legal matter as well. If traders continue to misuse Incoterms rules in their international shipping contracts and carriage, they can not be in control over the goods thus, creating a risk gap. In this case, traders must be willing then to assume the risks of loss or damage until loaded onboard. Using the right terms may prevent disputes and provide clarity in their trading relationships. herefore, through questionnaire surveys of 144 respondents the purpose of this study is to analyze the usage and problems of Incoterms rules interpretation in small and medium international trading companies and verify the reason why traders select incorrect trade terms.

        Incoterms® 2020 컨테이너선적조건의 문제점과 실무적 유의점

        Purpose This study aims to examine the major amendments of Incoterms 2020 rule and to provide useful practical suggestions in container shipping terms of Incoterms 2020. Design/Methodology/Approach This study reviewed and analyzed a substantial amount of latest domestic and international literature related to Incoterms 2020. There are composed of five chapters based on literature studies. Chapter . deals with the introduction of this paper and Chapter explains the significance and principles of Incoterms. Chapter deals with container transportation and the emergence of Incoterms rule. Chapter idenfies problems and suggest for practical use of container shipment terms in Incoterms 2020. Chapter concludes this paper. Findings This paper presents the problems related to container shipping terms in Incoterms 2020. Incoterms has emphasized the use of terms available for all modes of transport, including FCA, CPT and CIP, taking into account the increased use of multimodal transport resulting from the introduction of containers since the 1980 revision. Actually, however, traditional terms such as FOB, CFR and CIF are still used a lot. Research Implications This paper explains the recent trend of increasing the importance of container shipment terms and points out the domestic transaction issues, the misuse of container shipping, the inconsistency with UCP 600 and cargo insurance issues.
