        중국 회사법상 자본제도에 관한 연구

        2013년 12월 28일 중국에서 회사법이 개정되었다. 이번 회사법 개정의 목적은 회사 자본제도의 개정을 통하여 회사 설립의 용이성을 추구하기 위한 것이다. 개정 회사법에서는 중국에서 20여년간 시행한 최저자본제도를 폐지하였고, 기존의 분할납입을 허용한 확정자본제도를 전액인수의 확정자본제도로 개정을 하였다. 이러한 의미에서 중국에서도 1원짜리 회사가 설립이 가능하게 되었다. 비록 이번 회사법 개정을 통하여 회사설립이 기존에 비하여 용이하게 되었지만, 현물출자의 평가제도 및 배당제도, 주식양도제도 등으로 인하여, 전액인수의 자본제도 하에서 등록자본금이 형식화될 위험이 존재한다. 본 문은 이러한 문제를 중심으로 중국 회사법상 자본제도의 발전연혁으로 시작하여, 이번 개정한 회사법에 존재하는 문제점을 파악하고 이와 관련된 개선방안을 제시한다. Corporate capital system is one of the key systems for the corporate law, and forms the core content of corporate law together with corporate governance system, and plays a key role in the corporate business activities. The design of corporate capital system has great impact on the economic development of one country. In this reason, China has revised two times corporate law, and both of them including capital system. Recently, China has revise their corporate law on December, 2013. Through the revision, although chinese corporate Law still adopt legal capital system, it change instalment capital to the fully subscribed capital. So, one coin can be establish a corporate in China. But there are two problem in Chinese Corporate Law. One is the emptiness of the registered capital, and the other one is the protection of the creditors. This paper mainly focuses on above two problems.

        Cloning and Characterization of the IgA Fc Receptor from Swine

        The myeloid-specific IgA Fc receptor (FcαR) is a cell surface molecule on immunocytes that provides a fundamental connection between humoral and cellular immunity. In this study, the full-length cDNA sequence of swine FcαRI (swFcαRI) was isolated and characterized and found to contain a 792-base-pair open reading frame, encoding a 264-amino-acid transmembrane glycoprotein with a predicted molecular mass of 29.4 kDa. The swFcαRI shares high amino acid sequence homology (>50%) with its counterparts from cattle, seal, and horse. Rosetting analysis confirmed that COS-7 cells transfected with an swFcαRI expression plasmid was able to combine with chicken erythrocytes sensitized with porcine IgA, but not IgG.

        Synthesis of Uniform Polyaniline Nanosheets and Nanotubes: Dependence of Morphology on the pH

        Polyaniline (PANI) nanomaterials were synthesized by simplified template-free method with ammonium persulfate (APS) as an oxidant. The strong dependence of morphology of polyaniline on the initial pH of the reaction solution has been found. PANI morphology transformed from nanosheets to nanotubes with the decreasing initial pH from 6.70~6.50 to 5.30~5.00, and nanotubes changed further to irregular granules with the decreasing pH lower than 2.26. Polyaniline nanosheets were highly crystalline (2θ=6.2°) but poor in conductivity (5.7×10-5 S/cm) and electroactivity due to low doping level. Though polyaniline nanotubes were poorly crystalline, it had a relative high conductivity (3.4×10-2 S/cm) and maintained the electroactivity in acidic and neutral media which had potential applications in biomedical fields such as tissue engineering and biosensor.

        Wireless Synchronous Transfer of Power and Reverse Signals

        Wireless power transfer via coupled magnetic resonances has been a hot research topic in recent years. In addition, the number of related devices has also been increasing. However, reverse signals transfer is often required in addition to wireless power transfer. The structure of the circuit for a wireless power transfer system via coupled magnetic resonances is analyzed. The advantages and disadvantages of both parallel compensation and series compensation are listed. Then the compensation characteristics of the inductor, capacitor and resistor were studied and an appropriate compensation method was selected. The reverse signals can be transferred by controlling the compensation of the resistor. In addition, it can be demodulated by extracting the change of the primary current. A 3.3 MHz resonant frequency with a 100 kHz reverse signals transfer system platform was established in the laboratory. Experimental results demonstrate that wireless power and reverse signals can be transferred synchronously.

        MODIFIED MULTIPLICATIVE UPDATE ALGORITHMS FOR COMPUTING THE NEAREST CORRELATION MATRIX

        A modified multiplicative update algorithms is presented for computing the nearest correlation matrix. The convergence property is analyzed in details and a sufficient condition is given to guarantee that the proposed approach will not breakdown. A number of numerical experiments show that the modified multiplicative updating algorithm is efficient, and comparable with the existing algorithms.

        Enhanced Visible-Light Driven Photocatalytic Performances Over LaFeO3/NiO Modified Porous g-C3N4 Nanosheets

        LaFeO3/NiO modified g-C3N4 nanosheets (L-N/CNS) were synthesized by a two-step method. HRTEM results showed that an intimate contact between LaFeO3, NiO and N-CNS was successfully established. Ninety percent of phenol was degraded within 120 min, and the hydrogen evolution rate of 171.2 μmol h -1 g -1 was obtained over the L-N/CNS heterojunctions under the visible-light irradiation. It was higher than that of g-C3N4 nanosheets, NiO modified g-C3N4 and LaFeO3/g-C3N4. The ·O2 - radicals acted the crucial role in the photocatalytic degradation reaction. EIS, PL and time-resolved fluorescence spectra demonstrated that L-N/CNS possessed the highest charge separation efficiency. The intimate contact between LaFeO3, NiO and g-C3N4 nanosheets promoted the separation and transfer of photo-induced electron–hole pairs and consequently prolonged the exciton lifetime, and implied more photo-induced electrons could be probably involved in the photocatalytic reactions on the surface of photocatalysts. Thus, the visible-light driven photocatalytic performances of L-N/CNS were effective. This work provided a feasible method to design and construct heterostructures for the exploitation of solar energy.

        Risk Prediction Model for Radiation-induced Dermatitis in Patients with Cervical Carcinoma Undergoing Chemoradiotherapy

        PurposeRadiation-induced dermatitis (RD) is a common side-effect of therapeutic ionizing radiation that can severely affect patient quality of life. This study aimed to develop a risk prediction model for the occurrence of RD in patients with cervical carcinoma undergoing chemoradiotherapy using electronic medical records (EMRs). MethodsUsing EMRs, the clinical data of patients who underwent simultaneous radiotherapy and chemotherapy at a tertiary cancer hospital between 2017 and 2022 were retrospectively collected, and the patients were divided into two groups: a training group and a validation group. A predictive model was constructed to predict the development of RD in patients who underwent concurrent radiotherapy and chemotherapy for cervical cancer. Finally, the model's efficacy was validated using a receiver operating characteristic curve. ResultsThe incidence of radiation dermatitis was 89.5% (560/626) in the entire cohort, 88.6% (388/438) in the training group, and 91.5% (172/188) in the experimental group. The nomogram was established based on the following factors: age, the days between the beginning and conclusion of radiotherapy, the serum albumin after chemoradiotherapy, the use of single or multiple drugs for concurrent chemotherapy, and the total dose of afterloading radiotherapy. Internal and external verification indicated that the model had good discriminatory ability. Overall, the model achieved an area under the receiver operating characteristic curve of .66. ConclusionsThe risk of RD in patients with cervical carcinoma undergoing chemoradiotherapy is high. A risk prediction model can be developed for RD in cervical carcinoma patients undergoing chemoradiotherapy, based on over 5 years of EMR data from a tertiary cancer hospital.
