기금취득 주식양도에 대한 증권거래세 부과의 법적 문제에 관한 고찰

From 2010, the government has reversed its position regarding the shares purchased with public funds stipulated under the National Finance Act and started imposing securities transaction taxes on the transfer of such shares. The policy change is timed with the expiration of the temporary regulation that waived transfer taxes for such securities under the Tax Favor Limitations Act. In the lead-up to examining the nature of the National Pension Fund as well as the legal impact and significance of the policy change, this article aims to provide the catalyst in bringing to wider attention a set of legal problems concerning the levying of transaction taxes for the securities purchased with the National Pension Fund.

기관투자자의 주주권 행사와 법적 문제 - 국민연금의 스튜어드십 코드 운영을 중심으로

As the National Pension Service(hereafter ʻNPSʼ), the biggest institutional investor in South Korea, has formally adopted the Stewardship Code, it is expected for institutional investors to enforce their shareholder status by maximizing their shareholder engagement. However, there are growing concerns on leading to increase the risk of pension fund socialism as well as having possibilities in breaching Financial Investment Services and Capital Markets Act(hereafter ʻCapital Markets Lawʼ)ʼs regulations. This article starts its discussion by looking at the current NPSʼs fund governance and expressing doubt on the regulation trend of utilizing the public pension fundʼs influence as an enforcer in the capital market. Then, the article examines the possible cases where NPS might violate the regulations on Capital Markets Law while exhibiting shareholder engagement. The article specifically indicates that it is not grounded in practice that allowing a special exception for NPS just because its engagement is from the codeʼs activity. In conclusion, this article suggests the need for reconstruction of the National Pension Fund Operation Committee and Fiduciary Liability Committee to raise their expertise in dealing with fund investment and to enhance their independence from government. It also gives an emphasis on the need for preparing the individualized and detailed guidelines to avoid pension fund socialism and the violation of Capital Markets Lawʼs regulations. 국민연금의 스튜어드십 도입으로 기관투자자의 주주권 행사는 새로운 전기를 맞게 되었다. 기관투자자의 주주 지위를 강화함으로써 기업지배구조 개선에 한 발 더 다가갈 수 있게 된 것이다. 그런데 국민연금이 스튜어드십 코드의 일환으로 적극적 주주권을 행사하는 데 있어 해결하여야 할 문제도 적지 않다. 우선 국민연금의 투자의사 결정이 과연 순수하게 투자자 지위에서 이루어지는 것인가에 의문이 있다. 이는 연금사회주의 논란과도 밀접하게 연관되어 있다. 이를 해결하기 위해서는 무엇보다도 이해관계자의 부당한 영향에서 벗어날 수 있는 의사결정 구조 마련이 필요하다. 아울러 지나치게 대표성을 중시한 기금운용위원회 및 수탁자책임전문위원회의 구성을 전문성을 살릴 수 있도록 재구조화할 필요가 있다. 다음으로 스튜어드십 코드에 따른 기관투자자의 관여가 높아질수록 자본시장법상 각종 규제 위반의 위험성도 커질 수 있다는 점을 분명하게 인식할 필요가 있다. 경영관여의 순수성을 강조하며 자본시장법상 규제에 대해 예외를 인정해야 한다는 주장은 국민연금 역시 스튜어드십 코드의 준수에 앞서 수탁자로서 수익성 강조의무를 부담하는 주체라는 점을 간과하고 있다. 따라서 일률적으로 연기금의 스튜어드십 코드활동에 대해 예외규정을 만들기보다는 개별 규제의 취지에 따라 위반 가능성을 가늠하고 이를 극복하기 위한 행위 기준을 상세하게 마련하는 데 초점을 맞춰야 한다.

지방선거정치의 제도, 이슈 그리고 선거캠페인 : 6 · 2 대구광역시 지방선거를 중심으로

국민의 직접적인 선출로 지방정부와 의회를 구성하는 선거를 치루기 시작한지 어느덧 15년 째에 접어들었다. 지방선거의 주기적 시행은 지방 차원에서의 민주주의 제도화와 자치 능력 향 상에 크게 기여해왔다. 특히 지방선거는 우리나라처럼 민주주의 제도화가 취약한 대통령제에서 나타나는 위임 민주주의에 대한 견제 장치로서 역할하고 있는 점도 부연될 수 있다. 이 연구는 대구시장 선거 사례를 중심으로 지방선거의 특징을 고찰하고자 한다. 대선이나 총선에 비해 그 동안 지방선거 연구는 의미 있는 진척을 보이지 못해왔다. 그것은 지방선거의 정치적 비중이 상대적으로 떨어지는데다, 지역 수준에서 선거 동학의 역동성을 포착하기도 용이하지 않았기 때문이었다. 이 연구는 선거정치의 특정한 단면에 주목하기보다는 제도, 프레임과 이슈, 캠페인 의 측면에서 지방선거의 양태를 개괄적으로 이해하고자 한다. 그리고 학술적 의미를 도출하기 보다는 대구 지역에서의 선거정치를 활성화하기 위한 평가와 함의를 제공하는데 초점을 두고 자 한다.

Extradural meningiomas are relatively rare and those arising from spinal root are even rarer. Recently, a case of extradural meningioma arising from a spinal nerve root was surgically treated in our institution. This patient was a 19-year-old female presented with paraparesis and paresthesia. The mass was compressing the spinal cord at the level of fourth thoracic spine, and it was extended to the nerve root. At operation it was found to be originated from the fourth thoracic spinal nerve root. After removal of the tumor, the neurologic symptom and sign were recovered completely. Histoligic examination of tumor revealed as transitional type of meningioma.

In today's capital market of Korea, institutional investors have been expected to assume a greater role than other investors, especially in controlling the misconduct of the management. Despite their advantages arising from some cost-saving factors, institutional investors have been passive to control the conflict of interests by exercising the shareholder’s rights. It is attribute to the fact that institutional investors does not have much incentive to exercise the rights as well as previous legal restraints. Since sub-prime mortgage crisis in 2008 spreads over the world, investment environment has been changed to ask institutional investors to exercise their rights more positively. Based on the change of circumstances, this paper focused on the constraints and new possibilities of institutional investors. 이론적 적합성에도 불구하고 기관투자자는 그간 경영진에 대한 감시자로서의 역할을 다하지 못하고 있었다. 법·제도적 제약이나 영업적 이해관계에 얽매일 수밖에 없는 기관투자자의 현실을 감안하더라도 이러한 결과는 기관투자자의 역할에 대한 자본시장의 기대에 미치지 못하는 것이었다. 그런데 미국발 서브프라임 모기지 사태가 촉발한 장기적인 증시침체는 오히려 기관투자자의 역할을 새롭게 하는데 주요한 자극제가 될 수 있을 것으로 보인다. 즉 더 이상 매도전략만을 고집할 수 없게 만드는 환경의 변화가 생긴 것이다. 언젠가는 고객에게 투자금액을 돌려줘야만 하는 숙명을 지닌 기관투자자는 수익성을 담보할 수단이 점점 제한되는 까닭에 보유주식의 가치상승에 주목하게 될 수밖에 없다. 이때 기관투자자간 연대와 공시정책의 강화는 기관투자자가 자본시장과 고객의 신뢰를 받게 만드는 첫걸음이 될 것이다. 이 글에서는 기관투자자의 전통적인 역할과 한계론을 살피고 변화된 환경에서 기관투자자가 생존하기 위해서는 부분적으로 행동주의를 강화할 수밖에 없다는 점에 대해 논증한 뒤 이들의 연대와 공시정책 강화를 통한 투자자 보호의 필요성을 주장하였다.

Analysis of vibration characteristics of one-axis heavy duty stages

This study focus on the dynamic characteristics of one-axis stages with its heavy duty top plate over 300 kg. A simplified modeling of one-axis heavy duty stages for machine tools is suggested to understand the characteristics of the vibration in the heavy duty stage. The equivalent finite element model for LM guide bearings is applied to analyze the dynamic characteristics of the precision stage. Moreover, the role of screw bolts which fasten the positions between LM guide rails and the main table is also discussed. The suggested modeling shows below 11.8 % error from the measured result values of the modal experiments.
