        수학교구를 활용한 수업의 흥미도 및 문제해결력 신장에 관한 연구

        This study aimed to examine what effects the lessons based on some mathematical tools have on the students' interest and problem solving ability. For this study, 2 classes of 5th graders who go to an elementary school were chosen and divided into an applied class and a comparative class. The applied class were taught through the lesson plans based on the mathematical tools and reorganized worksheets, and the comparative class were taught through the regular lesson plans based on the text. After conducting the lessons, examinations were implemented to check out the students' interest level and problem solving ability in the procedure of before-exam, during-exam, and after-exam.

        무보험자동차에 의한 상해보험의 법적 과제

        무보험자동차에 의한 상해보험이란 피보험자가 무보험자동차에 의하여 생긴 사고로 사망하거나 상해를 입은 때, 그 손해에 대해 배상의무자가 있는 경우에 보험회사가 약관에 따라 피보험자의 손해를 보상하는 보험을 말한다. 무보험자동차에 의한 상해보험은 처음에 자동차보험의 특별약관으로 판매되었다가 1995년 8월 이후 보통약관의 일부로 도입되었다. 이 보험은 피보험자가 무보험자동차나 도주차량에 의해 피해를 입은 경우 피보험자의 자동차보험에서 먼저 손해를 보상하고 보험자(보험회사)가 가해 차량의 책임 있는 자에게 구상권을 행사하는 형식을 취하고 있다. 따라서 이 보험의 법적 성질에 대해 상해보험설, 손해보험설, 손해보험형 상해보험설 등 학설과 판례가 다양한 입장을 취하고 있다. 법적 성질을 어떻게 파악하느냐에 따라서 관련된 법적 문제의 해결방법이 다르게 된다. 무면허․음주운전에 대해 보험회사가 면책약관을 두어 보험금을 지급하지 않으려고 할 경우 이러한 면책약관의 효력이 인정될 것인가에 대해 검토할 필요가 있다. 또한, 소득이 증가하면서 한 가구에 여러 대의 자동차를 보유하는 경우가 증가하고 있다. 이것은 무보험자동차에 의한 상해보험에 중복으로 가입한 피보험자수의 증가를 의미한다. 이러한 경우 보험사고 발생 시 중복보험 인정여부에 따라 보험금 산정에 차이가 있게 된다. 이 외에도 보험자대위에 관한 규정 및 보통약관의 해석상 문제점 등 관련된 법적 과제들의 문제점을 제기하고 이에 대한 대안을 제시하고자 한다. Uninsured motorist insurance coverage means that according to insurance policy, insurance companies indemnify the insured for losses, when they are injured or killed by an uninsured motorist car accident and its liability lies with the uninsured driver. Uninsured motorist insurance coverage was originally introduced as a part of special clauses, but later it has been introduced as a part of common clauses since August of 1995. This insurance was designed to the effect that first the insurer, the insurance company, compensates to the losses of the insured, and then exercises the right of claim to the person in charge. There are different positions on how to define its characteristics such as accident insurance, indemnity insurance, and accident insurance related with indemnity insurance. The Solutions of legal issue would be different according to the understanding of how to see its legal character. Moreover, if the insurer would not compensate for the damage related with unlicensed driving and drunk driving with exemption clause, its validity should be in discussion. As the income of the family increases, many families have several vehicles. This implies that the number of the insured who are duplicate applicants for uninsured motorist insurance coverage has increased. In this case, whether this coverage is double insurance or not is an important factor of calculating insurance money. There is growing concern over how to understand the legal character of the insurance. In addition, I would like to raise a legal problems and suggest an alternative.

        신용카드 산업의 현황과 부정사용에 관한 민사책임

        신용카드는 현대를 살아가는데 없어서는 안 될 중요한 지급수단으로서 우리나라에 신용카드가 도입되어 이용된 지도 40년이 경과하였다. 우리나라 신용카드 산업은 결제의 편의성, 신용카드 별로 부가되는 다양한 서비스 등에 힘입어 크게 성장하였다. 신용카드 산업이 발달함에 따라 이와 관련된 사법상의 분쟁과 신용카드 부정사용의 유형도 다양해지고 있으며, 이에 대한 손실부담을 어떠한 기준에 의해 누가 할 것인가는 신용카드 관련 법적 문제에 있어서 매우 어려운 과제라고 할 수 있다. 신용카드 부정사용에 관한 민사책임 문제의 해결을 위한 관련규정 및 약관으로 「여신전문금융업법」과 「신용카드 개인회원 표준약관」이 중요한 역할을 하고 있으나, 각 사안에 따른 구체적인 기준제시에는 많은 어려움이 있다. 따라서 각 당사자의 과실정도와 책임을 어느 정도로 할 것인가에 대한 손실부담의 기준으로 효율성, 위험분산, 신뢰성, 공평성의 원리가 적용되고 있다. 그리고 신용카드 부정사용에 따른 손실방지 대책을 제시하여 신용카드 산업의 건전한 운영에 이바지하고자 한다. The credit card has become an essential part of our everyday life, serving as an inseparable tool in the national economy as well as in the household one. Credit card called plastic money or the third money next to cash and check is very convenient payment means which enables its user to purchase products and services without actually paying cash or check. Korean credit card industry rapidly expanded in early years of the 21st century by virtue of various deregulation measures and severe competition among credit card companies. However, the excessive expansion of the credit card market -- compared with the size of economy -- brought in many harmful side effects. This is a main cause of the damage that occurs from the illegal use in credit card transaction. Because there is no established specific law to define the legal status of the credit card and regulate the illegal uses of cards, disputes are usually settled based on individual contracts or through mediation of the dispute mediation body of Financial Supervisory Service and the court’s judgements. Credit card related disputes fall into the two categories : one is the cardholder’s own overuse and the other is illegal use by others. How should the liabilities be shared among the three parties? Of course, the responsible one should be liable for that and when the responsible one is not obvious, basically the principles of efficiency, diversification of risks, trust, and equity should be considered for liability sharing. The purpose of this study is to contribute to the standard of civil liability on the illegal uses. To properly deal with this kind of disputes, many institutional and legal mechanisms should come into play and the four parties - the cardholder, the merchant, the credit card company and the government - should do their own roles as well.

        주식회사 이사의 책임과 제한에 관한 연구

        우리나라는 외환위기 이후 기업의 지배주주를 중심으로 이루어지는 기업지배구조(Corporate Governance)에 대하여 회사경영의 합리성과 투명성을 높이기 위해 기업지배구조에 관한 전반적인 개선을 검토하게 되었다. 우리나라는 주주총회의 권한보다 이사회의 권한이 강화된 이사회중심의 지배구조를 취하고 있다. 이사의 법적 지위는 이사회의 구성원으로서 회사의 업무집행에 관한 의사결정과 대표이사의 업무집행을 감독하는 권한을 갖고 있다. 회사와 주주를 위해 선관주의의무와 충실의무를 담당한다. 이러한 책임을 수행하지 못해 손해가 발생하면 이에 대한 손해배상책임을 져야 한다. 이사의 책임은 크게 회사에 대한 책임, 제3자에 대한 책임, 업무집행지시자 등의 책임으로 나누어 볼 수 있다. 상법 개정을 통해 이사의 책임을 강화한 것은 이사 지위의 중요함과 회사와 주주들에게 미치는 영향을 고려한 것이다. 그러나 이사의 책임이 강화되면 이사의 소신 있는 경영활동을 기대하기가 어렵게 된다. 이러한 점에서 이사의 책임을 제한할 필요성이 있게 되어 2011년 개정상법은 이사의 책임을 완화하는 규정을 두게 되었다. 상법 제400조의 규정에 의하면 정관에 의해 이사의 책임을 감면할 수 있도록 하고 있다. 외국에 비해 이러한 제한 규정은 규모와 그 구체성 면에서 매우 미흡한 형편이다. 따라서 우리나라 이사의 책임제한 규정을 재검토하여 보완할 필요가 있다. 이사의 책임을 완화시키고 효율적으로 제한하기 위해서 미국, 독일, 일본 등에서 인정되고 있는 경영판단의 법칙을 규정화하는 방안과 사후적인 보장책으로 임원배상책임보험의 활성화 방안이 제시될 필요가 있다. 이사 책임제한에 관한 외국의 입법동향을 살펴보고, 법적 과제로 실정법상 규정의 보완방법, 판례로 인정되고 있는 경영판단의 법칙의 규정화를 위한 입법론 제시, 사후 보상 차원에서의 임원배상책임보험제도 등을 검토하여 이사의 책임제한 방법의 효율화 대책을 제시하는데 본 연구의 목적을 두고자 한다. In order to enhance the rationality and transparency of the companys management, Corporate governance centered on the controlling shareholders was required to review in the financial crisis in 1997. It is usually the power of the board of directors is much stronger than its power of the shareholders’ meetings according to the Corporate governance in Korea. The directors legal status has the power to monitor decision-making on the execution and execution acted by CEO. Director is responsible for the fiduciary duty and duty of good faith to company and its shareholders. If damages occur due to failure to perform such responsibilities, director shall be liable for damages. The directors responsibilities can be divided into those of the company, the third party, and the CEO. Commercial Law in Korea Strengthening the responsibilities of directors through the revision. It takes into account the importance of the position of directors and its impact on the company and shareholders. However, as the responsibilities of directors are strengthened, the less active the director will be in the management of the company. In this regard, there was a need to limit the responsibilities of directors, and the amendments made in 2011 provided provisions to mitigate the responsibilities of directors. It allows the corporation to reduce the responsibilities of directors by the Articles through Article 400 of the Commercial Law. Unfortunately, compared to foreign countries, these efforts are very insufficient in scale and their specificity. In order to mitigate and efficiently limit the responsibilities of directors, it is necessary to make the Business Judgement Rule as the part of Law, which is recognized widely in the U.S., Germany and Japan. And promotion of Director and Officers(D&O) Liability Insurance should be considered to introduce as a follow-up guarantee. The purpose of this study is to present measures for streamlining the method of limiting responsibilities of directors by reviewing the foreign legislative trends concerning the restriction of responsibility of directors. To this end, this paper will present legislation theory for regulating Business Judgement Rule, and review the Directors and Officers Liability Insurance system at the post-compensation level. It will provide a realistic plan for enhancing the transparency and rationality of Corporate Governance.

        자율주행자동차 상용화의 법적 과제에 관한 연구

        Autonomous Vehicles on the road are no longer the fantasy in the soap operas or movies. Autonomous Vehicles can drive automatically on the road with no manipulation of passengers or drivers but by recognizing situation surrounding by itself. Autonomous Vehicle Technology is the leading technology in the forth industrial revolution. It has been developed since 1970s in very basic standard but has been followed with the participation of IT industries such as Google and Apple in 1990s, in other words, there was some eye-opening progress. The related study in Korea has been started from the late 1990s by Transportation Safety Institutions. And today we are facing the commercialization of Autonomous Vehicles and legislations for safety and insurance are required. To follow the trend, government of Korea has made up 「the Act on Promotion and Support of the Commercialization of Autonomous Vehicles」 in 2019(2019.4.30), and has been enforced from 2020(2020.5.1). In accordance with the revised 「the Automobile Accident Compensation Security Law」, regulation of insurance has been newly introduced to establish the system accompanied with commercialization of Autonomous Vehicle under Level. 3. In 2040, approximately 75% of vehicles are expected into change to autonomous vehicles. Some legal issues should be solved for commercialization. First of all, that who will be responsible for the case of accident during the automatic driving should be considered. It may relate to the issue of product liability and issue of negligence. How to take the responsibility would be the second issue. It requires our imagination how to design the insurance policy for autonomous vehicles. For the commercialization of Autonomous Vehicles, the legal challenges of the proportion of liability for damages and negligence, product liability, and the establishment of new automobile insurance system are to be solved in the future. The purpose of this study is to present measures for streamlining the commercialization of autonomous vehicles by reviewing the foreign legislative trends concerning the commercialization of autonomous vehicles. For this purpose, this paper will present complementary method of the actual law, and review the coping method with changes in the automobile insurance system.

        집행임원제도에 관한 연구 - 현행 상법의 법적 과제와 개선방향을 중심으로 -

        The aim of Executive Officer System is to improve Corporate Governance structure by separation of the two roles of the board: Managing and Monitoring operation of Corporate. Under this system, the executive officers selected by the board are empowered to exert their voting power and executive power and to perform their works and the board supervise executive officer’s management of the corporate. Executive Officer System has been introduced to the Korean Commercial Code in 2011 with a view to improve the transparency of the Corporate Governance Structure which means a regime to establish the relationship between executive part and monitoring part. After financial crisis occurred in 1998, when the Korean government asked IMF and IBRD to support it, they required the fairness of corporate governance structure transparency of corporate administration. As a result, outside director and compliance support system were introduced and the audit committee was consolidated to secure its transparency and fairness. And the methods to strengthen minor stockholder’s equities were discussed. In spite of those efforts, though managing directors exercised executive power and representative power and their empowered powers were monitored by the board, the board cannot exercise its supervisory power properly because the board members were too deeply influenced by managing director. Korean Commercial Code enforces corporate to select the number of outside directors according to the size of corporate and the number of board members. Then corporate begins to play the trick not to register their board members to handle the number of outside directors to select. The Revision of 2011 says the corporate can introduce executive officer system by option. However, in 2013, Ministry of law preannounced its another revision and it mentioned executive office system as the mandatory to the company which has established the audit committee for economic democratization. This trend for reform was applauded but criticized in that it would encroach on the autonomy of operation of corporate. And it is still discussed today. This paper is to discuss legal problem on Executive officer System and to provide its proposal via reviewing the problems on circumstance of obligated corporation, registration, establishment, qualification, name and its authority.

        기업지배구조의 공정성 제고에 관한 연구

        기업지배구조의 공정성을 제고하기 위한 방안은 기업지배구조상의 견제와 균형의 적정화, 재무상태, 영업성과 등 기업경영정보의 공정한 공시를 통하여 달성될 수 있는 것이다. 따라서 기업지배구조의 공정성과 기업경영의 투명성 제고 문제는 오늘날 기업의 새로운 ‘비즈니스 패러다임(Business Paradigm)’이 되고 있다. 기업지배구조의 공정성을 제고하기 위하여 사외이사제도의 도입, 감사 및 감사위원회 제도의 강화가 있었으며, 2011년 개정 상법에저는 집행임원제도와 준법지원인제도가 도입되었다. 준법지원인제도는 일정규모 이상의 상장회사의 경우 반드시 두도록 하는 의무적인 제도라는 점에서 경제계에 많은 논란이 되고 있는 제도이다. 개정 상법의 ‘준법통제 및 준법지원인제도’를 임의적인 제도로 운영하는 다른 국가의 입법례와 달리 우리나라가 의무적인 제도로 운영하는 첫 시도라 할 수 있어 그 성공적인 제도 정착에 더욱 많은 노력을 하여야 할 필요가 있다. 따라서 본 연구는 개정 상법의 준법통제기준 및 준법지원인 규정(제542조의13)을 토대로 상법시행령이 시행(2012.4.15) 되고 있으므로 이 제도가 효율적인 제도로 자리 매김할 수 있도록 법적 과제를 검토하고 몇 가지 개선방안을 제안하고자 한다. 기업의 준법경영에 이바지할 수 있는 제도로 출범된 상법상의 준법통제 및 준법지 원인제도가 안정적으로 잘 운영되면 기업지배구조의 공정성에 크게 이바지할 것이며, 의무 적용 대상이 아닌 기업들의 자발적인 참여도 기대해 볼 수 있을 것이다. Transparency of Corporate Management can be achieved by optimization of checks and balances related to Corporate Governance, financial position, operating performance and fair public announcement of information of Business Management. Therefore, the improvement of faimess of Corporate Governance and transparency of Corporate Management became new ‘Business Paradigm.’ In order to improve fairness of Corporate Governance, there have been introduction of Outside Director System and enforcement of Audit and Auditing Committee System Also, Executive Officer System and Compliance Support System were introduced in the 2011 revised Commercial Act. It is predicted that, besides introducing of those indiyidual systems, the application of integrated approach method which can take a view of whole Compliance Governance will improve the effectiveness. Compliance Support System is a controversial system in the economic world in terms of compulsory system which must be in listed companies beyond a certain size. In this sense, contrary to other countnes’Legislative system which is operated in random, ‘Compliance control and Compliance Support System’ of revised Commercial Act is the first compulsory system in Korea. In order to establish this system successfully, it takes a lot of efforts. Thus, the purpose of this study is to analyze the legal problems and suggest improvements in order to settle Compliance Control and Compliance Support System and set a foundation of effective operations. Today imfortance and necessity of Compliance Management for fairness improvement of Corporate Governance are legal problems. On the basis of the standards of Compliance Control and Compliance Suppof System of the revised Commercial Act (2011.4.14), Commercial Enforcement Ordinance (2012.4.15) has gone into effect. In order to become an effective system, there are several suggestions. First, it is necessary to have balance and harmony of internal control system of each laws including Compliance Control System related to Commercial Act. Second, with reference to restriction of business which is a concurrent office problem of Compliance Support System of Article 42 of Commercial Enforcement Ordinance Act, some part of ‘Business-related task’ can be abstract. Therefore, its supplementation is needed. Third, the government should work on not only the legislative sanction but also incentive foDr the companies which are applied by mandatory Compliance Support System to observe this system better. If Compliance Control and Compliance Support System related to Commercial Act as a system which contributes to Compliance Management of Business is operated stably, it might go a long way towards fairness of Corporate Governance. And also, voluntary participation of companies which are not included the mandatory company can be expected.
