        Research on Korea Financial Regulatory Issues for the FinTech Development

        The development of FinTech can bring out a host of new financial business model which can fill a niche not provided through traditional lending industry. For the success of FinTech industry, current statutory and regulatory regime governing FinTech in some parts are not only too old to cover the new financial business model but also not enough to protect financial consumers. South Korean government and national assembly trying to deregulate financial regulation which has been pointed out as four obstacles to FinTech development. First, the amendment of “Support for Small and Medium Enterprise Establishment Act” enables KRW 60 billion engel fund to invest FinTech in Korea. Second, Face-to-face procedure of the due diligence of CIP regulation is expected to lower the standard. For more speed and convenience, the author suggests biometric identification system could be adopted. Third, Current 4% restriction of non-banking company’s ownership of bank equity ownership is going to lower the ratio around 10~30%, which means allowing non-banking company’s “control” of bank. Fourth, Korean national assembly propose Securities Based Crowdfunding Regulations. For investor protection, however, the author insists broker-dealer’s liability for issuer’s disclosure and internet advertising regulations are necessity for securities based crowdfunding regulations. Finally, the author insists that the security-related issues must be resolved for the success of FinTech business.

        상장회사에 대한 주식매수청구권 배제에 관한 연구

        Appraisal right is one of the most controversial topics addressed in corporate restructuring area in Republic of Korea. Even though the right is originated from the United States, there are some characteristics in Korea appraisal laws. One is appraisal price, and the other is the lack of market out exception. A shareholder who opposed the resolution of the board of directors with respect to triggering events may request the corporation to purchase the stocks she/he owns on the price determined by 'Financial Investment Services and Capital Markets Act' or as an alternative 'court decision'. The price calculated in a manner falling under each of the following items : Average of final quotations of the stocks traded on the securities exchange and disclosed on a daily basis for two months, one month, and one week before the day immediately preceding the date the resolution of the board of directors is made, weighted by trading volume by real transactions. Market out exception is not imported in South Korea. The author introduces the function of appraisal rights and the premise of market out exception as well as the market-out exception provisions both of the Delaware state's general corporation act and Model Business Corporation Act. The author appraises current Korean appraisal laws and the possibilities of importing market out exception in Korea appraisal laws. 우리나라는 우리나라에서 발생할 상황이 아닌 주식매수청구권제도를 미국으로부터 계수하여 미국보다 더 소수주주보호를 잘 하고 있다는 측면이 있는반면에 우리 기업은 비상장회사뿐만 아니라 상장회사까지도 주식매수청구권을악용한 차익거래에 더 노출되어 있는 상황이다. 물론 주식매수청구권제도가주식매수청구권 차익거래에 의하여 악용되지 않도록 주식매수청구권 차익거래예방을 위반 법적 기반을 다져야 할 것이지만, 이와는 별개로 미국의 시장성배제조항을 상세히 소개하고, 이와 유사하게 우리나라에서도 상장회사에 대하여 주식매수청구권을 배제하는 입법을 하는 것이 소수주주보호라는 본연의기능을 크게 훼손하는 것인지 살펴보고자 한다. 이를 위하여 주식매수청구권이 미국에서 왜 발생하였는지, 그리고 주식매수청구권의 시장성배제조항은 어떠한 것이며, 오늘날 미국에서 주식매수청구권의 위치는 어느 정도인지를 주식매수청구권의 기능론을 중심으로 살펴보고자 한다.

        이사의 과다보수 환수방안에 관한 법적 연구

        G20 summit meeting spotlight excessive compensation of board member and CEO of financial company. Trying to recoup any of these types of compensation, however, will create legal hurdles. Korean supreme court sentenced against recoup of compensation which is provided in article of incorporation or approved by shareholder meeting. In Disney, Delaware supreme court consider the board’s independent decision of the excessive compensation as business judgement. Legislative efforts to keep the FSB principles for sound compensation practice results into Section 954 of the Dodd-Frank Wall Street Reform and Consumer Protection Act of United States as well as Korean Guidelines for Sound Compensation of Financial Companies. The author finds that the Korean claw back guidelines are well combined both of the equity based compensation and deferred compensation which also enables to long term corporate loss or profit. The author, therefore, insists the standard should apply not only financial companies but also listed non-financial companies. The reason is not because of that the Dodd Frank claw back provision applies all listed companies in the United States, but because of excessive compensation of board member of non-financial is far more serious than financial companies in Korea.

        독립형 태양광 가로등 통합제어기 개발

        독립형 태양광발전시스템은 배전선로와 계통 연계되지 않고 독립적으로 운영된다는 장점이 있어 시공설비가 간단하고 비용이 적게 드는 장점이 있지만 MPPT를 포함한 컨버터와 생산된 에너지를 배터리에 저장하기 위한 충전회로 및 배터리 매니징 회로가 요구된다. 기존의 대체에너지분야의 이용은 복합발전의 형태보다는 하나의 발전 형태를 주로 채택하고 있으나 태양광/풍력 복합발전시스템을 최적설계하고 배터리능력을 향상시켜 설치가격을 합리화 할 수 있는 통합형 제어시스템이 필요하다. Stand-alone PV systems and grid-connected distribution lines operating independently with out the advantage that it is simple, and construction equipment, but the advantage of less expensive MPPT converter and production, including the energy stored in the battery charging circuit and battery for managing circuitry is required. The use of existing alternative energy in the form of combined-cycle power generation than the one adopted by the form, but primarily solar / wind power system to optimize complex to design and improve the ability to install a battery that canrationalize the price you need an integrated control system be.

        중첩 NHPP 모형에 근거한 소프트웨어 최적방출시기에 관한 연구

        Decision problem called an optimal release policies, after testing a software system in development phase and transfer it to the user, is studied. The applied model of release time exploited infinite non-homogeneous Poisson process. This infinite non-homogeneous Poisson process is a model which reflects the possibility of introducing new faults when correcting or modifying the software. The failure life-cycle distribution used superposition which has various intensity, if the system is complicated. Thus, software release policies which minimize a total average software cost of development and maintenance under the constraint of satisfying a software reliability requirement becomes an optimal release policies. In a numerical example, after trend test applied and estimated the parameters using maximum likelihood estimation of inter-failure time data, estimated software optimal release time. Through this study, in terms of superposition model and simply model, the optimal time to using superposition model release the software developer to determine how much could count will help.

        Rayleigh형과 Burr형 NHPP 소프트웨어 신뢰모형에 관한 통계적 공정관리 접근방법 비교연구

        Software reliability in the software development process is an important issue. Softwareprocess improvement helps in finishing with reliable software product. In this field, SPC(Statistical process control) is a method of process management through application ofstatistical analysis, which involves and includes the defining, measuring, controlling, andimproving of the processes. The proposed process involves evaluation of the parameter ofthe mean value function and hence the values of the mean value function at various interfailure times to develop relevant time control chart. In this paper, was proposed a controlmechanism, based on time between failures observations using Rayleigh and Burrdistribution property, which is based on Non Homogeneous Poisson Process (NHPP). In this study, the proposed model is reliable in terms of hazard function, because it ismore efficient in this area can be used as an alternative to the existing model. Through thisstudy, software developers are considered by the various intended functions, priorknowledge of the software to identify failure modes to feed to some extent shall be able tohelp.

        절단고정시간과 지연된 S-형태 NHPP 소프트웨어 신뢰모형에 근거한 학습효과특성 비교연구

        In this study, in the process of testing before the release of the software products designed, software testing manager in advance should be aware of the testing-information. Therefore, the effective learning effects perspective has been studied using the NHPP software. The finite failure non­homogeneous Poisson process models presented and applied property of learning effect based on truncated time and delayed S-shaped software reliability. Software error detection techniques known in advance, but influencing factors for considering the errors found automatically and learning factors, by prior experience, to find precisely the error factor setting up the testing manager are presented comparing the problem. As a result, the learning factor is greater than autonomous errors­detected factor that is generally efficient model can be confirmed. This paper, a failure data analysis was performed, using time between failures, according to the small sample and large sample sizes. The parameter estimation was carried out using maximum likelihood estimation method. Model selection was performed using the mean square error and coefficient of determination, after the data efficiency from the data through trend analysis was performed.

        반-로지스틱과 로그로지스틱 NHPP 분포 특성을 이용한 소프트웨어 최적방출시기 비교 연구

        In this paper, make a study decision problem called an optimal release policies after testing a software system in development phase and transfer it to the user. In the course of correcting or modifying the software, finite failure non-homogeneous Poisson process model,presented and was proposed release policies of the life distribution, half-logistic and log-logistic distributions model which used to an area of reliability because of various shape and scale parameter. In this paper, discuss optimal software release policies which minimize a total average software cost of development and maintenance under the constraint of satisfying a software reliability requirement. In a numerical example, the parameter estimation using maximum likelihood estimation of failure time data make out, and software optimal release time was estimated.

        금융·정보화교육 통한 탈북민의 범죄취약성 극복 한국정부는 탈북민들에게 사회적응 교육프로그램을 제공하고 있다. 그것의 일차적인 목적은 탈북민의 정착을 지원하는 것이지만, 궁극적인 목표는 탈북민을 건전한 민주시민으로 변화시켜 진정한 한국사회의 구성원으로 만드는 것이다. 이것은 경제교육의 궁극적인 목표와도 일치하는 것이다. 경제교육의 궁극적인 목표는 학습자들의 경제에 대한 이해를 증진시키고 사회에서 담당해야 할 다양한 경제주체자로서의 역할을 수행하며 공공문제에 대한 합리적 의사결정을 내릴 수 있는 민주시민으로 성장하도록 돕는 것이다. 탈북민은 외부세계와 철저히 차단된 북한에서 살아왔기 때문에 급속하게 발전해 가는 금융정보나 지식에 문외한이라고 할 수 있다.
