유럽연합 투자설명서 규정에 관한 연구 - 위험요소를 중심으로 = A Study on European Union Prospectus Regulations - focused on risk factors -

Issuers of securities are bound by certain obligations in the case of public offering of securities or seeking to enter the regular market. Here, the issuer helps investors make investment opportunities and investment decisions based on truthful information by providing investment prospects to investors. However, such investment prospectus is generally provided to investors in length of more than several hundred pages in practice. Moreover, even if investors are provided with an investment prospectus, it is difficult for investors to understand the contents as a whole, and therefore it is difficult to grasp the information necessary for making an investment decision.
Moreover, the Financial Supervisory Service orders companies to correct the shortcomings in the securities declaration form and submit it. This can be suggested as the cause of the company's poorly prepared securities declaration, but above all, false statements, poor statements and insufficient evidence are exemplified in the important parts of the foreclosure declaration. Such false or inaccurate statements in securities declarations are being used as a means for issuers to avoid their responsibilities while intentionally hiding important risk factors in making investment decisions.
In July 2019, the EU introduced new rules for those wishing to enter capital markets. The EU initiated a fundamental reform of the prospectus, with the aim of creating a single market fluoride on the one hand, and creating a uniform regulation on the other to improve investor protection. In addition, the EU reduces the effort and costs involved when businesses need financing, and provides easier access for businesses to capital markets. This thesis discusses EU regulations and guidelines for capital market unification and investor protection policies implemented in the EU, and suggests implications for the regulation of domestic investment risk factors.

국문 초록 (Abstract)

유가증권의 발행인은 증권을 공모하거나 또는 정규시장에 진입하고자 하는 경우 일정한 의무에 구속된다. 여기에서 발행인은 투자자들에게 투자설명서를 제공함으로써 진실된 정보에 의하여 투자자들이 투자기회와 투자결정을 할 수 있도록 도와준다. 그러나 이와 같은 투자설명서는 일반적으로 실무에서 수백 페이지가 넘는 분량이 투자자들에게 제공되고 있다. 더구나 투자자들은 투자설명서를 제공받았다 하더라도 그 기재 내용을 대체적으로 이해하기 어렵고, 이로 인하여 투자결정에 필요한 정보를 파악하기가 쉽지 않다.
금융감독원은 기업에게 증권신고서 미비점을 수정한 후 제출하도록 명령하고 있다. 이는 기업이 증권신고서를 부실하게 작성한 것을 원인으로 제시할 수 있지만, 무엇보다 중권신고서의 중요부분에 대하여 거짓 기재, 부실 기재 및 근거 불충분 등이 예시되고 있다. 이와 같은 증권신고서의 거짓 또는 부실 기재는 발행인이 투자판단에 있어 중요한 위험요소를 의도적으로 숨기면서 자신의 책임을 회피하려는 수단으로 이용된다.
2019년 7월 EU는 자본시장에 진입하고자 하는 사람들에게 새로운 규정을 적용하였다. EU는 투자설명서에 대하여 근본적인 개혁을 시작하면서 한편으로 단일시장의 형성을 목적으로, 다른 한편으로 투자자 보호를 향상시키기 위하여 통일적인 규정을 마련하였다. 게다가 EU는 기업이 자금조달을 필요로 하는 경우 그에 수반되는 노력과 비용을 감소키고, 기업이 자본시장에 보다 쉽게 접근할 수 있는 길을 마련하였다. 본 논문은 EU에서 시행된 자본시장 통일과 투자자 보호 정책으로서 EU 규정과 지침을 논의하면서 국내 투자위험요소 규제에 대한 시사점을 제시하고 한다.
