從屬會社 理事의 違法行爲와 支配會社 株主의 保護(서울고등법원 2003. 8. 22. 선고, 2002나13746 판결) = A Parent Corporation Shareholder's Protection by Subsidiary Corporation Director's Illegal Act

다국어 초록 (Multilingual Abstract)

This paper aims to describe the parent corporation shareholder's protection means by subsidiary corporation director's illegal act. In the complex corporate enterprise, Because the parent corporation shareholder does not have direct means that can control the subsidiary corporation which do business activities actually, the parent corporation shareholder's right is dwindled still more. Today, there are greatly three types in discussed parent corporation shareholder's protection means. First is that restore parent corporation shareholder's voting right, and second recognizes any right to inspect the books and records to subsidiary corporations, and third introduces multiple derivative action can be sued directly against subsidiary corporation director. It should be evaluated high in terms of recognized double derivative suit to protect parent corporation shareholder's profit although judgement that refer in this paper is not supreme court judgement.
