IR활동의 한·일 국가별 실태분석 : An International Comparison = A Comparative survey Between Japanese and Korean Companies on the IR activities

국문 초록 (Abstract)

과거 우리나라 기업들의 전형적인 오너 중심의 밀실경영행태는 투자가와 일반주주들의 혜택을 철저히 무시하였음은 물론, 국가를 IMF관리체제로 몰아넣는 최악의 사태를 유발시켰다. 따라서 투명경영을 통하여, 차별화 된 기업가치 활성화를 위한 노력이 그 어느 때보다 중요하다 하겠다. 이에 본 연구에서는 일본 기업의 선진 IR 활동과 IMF관리체제 이후에 활성화된 우리나라 기업의 IR활동을 비교하여 어느 정도의 차이가 있는지 설문지를 통해 비교 분석하였다. 실태분석 결과, 두 나라 기업은 'IR활동의 목적', 'IR설명회', 'IR간접예산'에서 차이가 있었다. 특히 IR활동 목적 중 일본 기업은 기업의 내용을 최대한 알려서 기업이미지를 부각시키는 것이 IR활동의 주된 목적이지만, 우리나라 기업은 이 외에도 기업이미지 제고, 주가관리 및 자금조달이 IR활동의 주된 목적임이 입증되었다. 또한 일본은 IR설명회를 결산설명회로 개최하는 반면, 우리나라 기업은 소그룹모임(Small Group Meeting)에 가장 큰 비중을 두고 있다. 즉, 우리나라 기업은 Small Group Meeting을 통해 역량 있는 국내·외 Analyst 및 기관투자가에게 회사의 비젼을 알리는 한편, 이들과의 인간관계 및 정보의 교류를 매우 중요시하고 있다. 또한 IR간접예산 측면에서 볼때, 일본 기업은 IR활동에 상당 규모의 예산을 책정하여 장기적인 투자로 인식하는 반면, 우리나라는 일부 기업을 제외하고는 아직 IR활동에 대한 적극적인 예산책정 및 투자가 부족하다.
최근 투자자들은 증권거래소시장 보다 벤처기업중심의 코스닥시장에 더욱 매력을 느끼고 있다. 이는 코스닥시장이 세계의 흐름에 맞춘 최첨단 주를 중심으로 이루어진 것도 큰 이유지만, 증권거래소의 많은 상장기업들이 상대적으로 코스닥시장의 기업들에 비해, 밀실경영과 불성실공시로 일관하고 있다는 것도 간과해서는 안 된다. IR활동의 기본 중심은 투명경영을 통한 경쟁력 강화와 주주가치를 높이는 것이므로, 경영자들의 IR에 대한 깊은 인식이 그 어느 때보다 절실히 요구된다. 향후에도 기업의 가치, 즉 주주의 부를 극대화 할 수 있는 IR에 대한 계속적인 연구가 진행되어야 할 것이다.

다국어 초록 (Multilingual Abstract)

Until recently, Korean companies have practiced an ambiguous management that focused mainly on maximizing returns to executives and have ignored the profits for investors and ;stockholders. This factor compounded the severe financial crisis, which eventually led Korea to go to under IMF control for financial aids. This paper will be focused on comparing the IR activities of both Japanese and Korean companies since Asian financial crisis. In addition, it will show the differences between the two based on the purpose of their IR activities, IR public meeting, and IR budget.
In general, Japanese firms focused mainly on building their image, whereas Korean firms paid more attention to building their companies' stock management and fund raising techniques, as well as their image For IR public meeting, Japanese firms held account settlement presentations, while Korean firms gave a priority to the small group meetings. Through the small group meetings, Korean companies made the announcements of their vision to their domestic and foreign affairs analysts, as well as their fund managers. They also put a lot of importance on human relations and the exchange of information. As for budgeting, Japanese companies focused on long-term investments for their IR budget, and hence their immense budget. The majority of Korean companies. on the other hand, were hesitant to appropriate budget for any investments.
IR activities focus on maximizing stockholders' profits and increase competitiveness through better management. After the crisis, there is a realization that managers need to be more aware of IR than at any other time in the past. Hence, a continuous study on IR, focusing on increasing the firm value and stockholders' wealth, is being stressed.
