한국 회사법의 변천사(二) = History on development of Korean Corporate Law (Ⅱ) - From Amendment in 1998 to Amendment in 2011

국문 초록 (Abstract)

이 글에서는 1998년 개정에서 2011년의 개정에 이르는 동안 일곱 차례의 개정과정을 거치면서, 한국 회사법이 어떤 입법적 의도아래 어떤 경위를 거쳐 어떤 내용으로 변천하여 왔는지를 法制史的觀點에서 通史的方法으로 고찰하였다.
주지하다시피 한국 회사법은 독일 회사법을 계수한 의용상법 즉 일본의 회사법을 모태로 하여 제정되었다. 그러나 회사법을 제정하는 단계에서부터 시작하여 그 이후 몇 차례의 개정을 거치는 동안 기존의 제도를 변경하거나 새로운 제도를 설치하면서, 우리 회사법이 독자적으로 제도를 창설하였다고 볼만한 것은 거의 찾아보기 힘들고 대부분이 외국 회사법의 제도를 직접 또는 간접적으로 수용하였는데, 이 때 모델이 된 회사법은 주로 영미 회사법 특히 미국 회사법이었다. 1962년에 회사법을 제정하거나 1984년과 1995년에 회사법을 개정할 때 즉 한국 회사법의 초기 단계에서는 일본 회사법의 내용을 다분히 참고하였지만, 이 때에도 미국 회사법을 수용한 일본 회사법을 참고하였기 때문에 실질적으로는 미국 회사법을 모델로 한 제·개정 작업이 주로 이루어진 셈이었다. 그리고 IMF 자금지원 합의내용을 실천하기 위하여 이루어진 1998년의 개정을 기점으로 그 이후의 개정에서는 일본 회사법의 매개를 거치지 않고 미국회사법을 직접 수용하는 개정작업이 주로 이루어졌다.
회사법의 제정과 그 이후 몇 차례의 개정을 둘러 싼 사정이 이렇다 보니, 한국 회사법의 변천사는 규제 중심의 철학에 뿌리를 두고 있는 독일 회사법의 틀을 벗어나 기업의 자율성을 최대한 보장하려는 데 입법정책적 기조를 두고 있는 미국 회사법과 점진적으로 동화하여 가는 과정이었다고 하여도 지나친 표현은 아닐 것이다.
이처럼 미국 회사법상의 제도를 한국 회사법을 제정하고 개정하는 과정에서 많이 수용한 이유를, 종전(終戰) 후 우리나라가 미국의 영향을 여러 방면에서 많이 받고 있었다는 사실관계 내지 상황론에서 찾을 수도 있겠다. 그러나 법률적 시각에서 볼 때에는 한국 회사법을 제정하고 개정하는 과정에서 일관되게 추구하여 온 입법정책적 기조가 미국 회사법의 그것과 상통할 수 있을 정도로 두 나라의 기업현실이, 비록 두 나라 사이에 시간차는 있었다고 하더라도, 유사하였기 때문이라고 평가하는 것이 옳을 것이다.

다국어 초록 (Multilingual Abstract)

This thesis mainly considers the development of the Korean Corporate Law from its amendment in 1998 to its amendment in 2011.
Korean Corporate Law was enacted based on the Japanese Corporate Law which inherited the German Corpotate Law. Furthermore, there is hardly any independent system created by the Korean Corporate Law during its enactment as well as its amendment process. Most part of it directly or indirectly inherited the system of corporate law in foreign countries and one of the most influential model laws was the Anglo-American Corporate Law, especially the U.S Corporate Law. When Korean Corporate Law was amended in 1998, 1999, 2001(Jul.), 2001(Dec.), 2009(Jan.), 2009(May), 2011; its model law was the Japanese Corporate Law. However, since it was based on the Japanese Corporate Law which inherited the U.S Corporate Law at that time, it can be concluded that the both enactment and amendment was practically based on the U.S Corporate Law.
Therefore, it would not be an exaggeration to say that the development and history of the Korean Corporate Law was the process of its movement from sphere of influence of the German Company Law to the U.S Corporate Law.
Then what would be the reason that Korean Corporate Law absorbed such a large proportion of the U.S Corporate Law during its enactment and amendment process? It would be possible to find one of the reasons from the fact that Korea was under great influence of the United States in many different aspects after World War II and Korean War. However, in legal perspective, it would be more reasonable to conclude that legal and political background that Korean Corporate Law consistently pursued during its enactment and amendment had common factors with the U.S Corporate Law. In other words, the corporate reality of the two countries were similar to each other even if there was a time gap between them.
