국제중재에서 징벌적 손해배상의 중재가능성 및유효성에 관한 연구 = A Study on the Arbitrability and Availability of Punitive Damages in International Commercial Arbitration

The question whether an arbitral award that imposes punitive damages is possible in international commercial arbitration is getting more attention these days. This attention was ignited by a U.S. case that recognized arbitrator's power to award punitive damages in domestic arbitration, and by the trend of diminishing antipathy against punitive damages among the continental law countries.
However, it is still very difficult to find an arbitral award that imposes punitive damages in international commercial arbitration. In order to make it possible, punitive damages is available under the law applicable to the substance of the dispute, and arbitrator has a power to award punitive damages under the law applicable to the procedure of the arbitration. In addition, punitive damage award may be set aside if punitive damages is not available under the law of the arbitral seat, and punitive damage award may be unenforceable under the law of the country where enforcement is sought because it is against the public policy of that country. Furthermore, punitive damages are normally awarded in the context of a tort claims, not awarded for a breach of contract claim made in the context of international commercial arbitration.
Since too many conditions should be met for punitive damages to be possible in international commercial arbitration, this question seems to remain as a theoretical one, not a practical thing. However, it becomes more probable in the near future to notice arbitral awards that impose punitive damages in international arbitration because traditional antipathy against punitive damages is diminishing among continental law countries, and many commentators argue that public policy standard for enforcement of international arbitration award made in foreign countries should be lowered.

국문 초록 (Abstract)

중재는 사법상의 분쟁을 법원의 재판에 의하지 아니하고 당사자들이 합의한 절차에 따라 중재인의 판정에 의하여 해결하는 수단이다. 중재 중에서 당사자의 국적이나 영업소의 소재지가외국이거나 분쟁의 내용에 외국적 요소가 개입되면 국제중재라고 할 수 있다. 최근 이러한 국제중재에서 징벌적 손해배상을 명하는 판정이 가능한가에 대한 논의가 이루어지고 있다. 징벌적 손해배상은 실제 손해액보다 더 큰 금액을 손해배상으로 부과하여 위반 당사자의 행위를 처벌하거나 억제의 수단으로 활용하는 구제수단이다. 보통법계 국가에서는 이러한 개념이 인정되고 있지만, 대륙법계 국가에서는 징벌적 손해배상이 형사적인 성격을 가지고 있기 때문에, 민사상의 분쟁에서 이러한 처벌을 내리는 것은 공서에 위배된다고 보고 있다. 더구나 중재인이징벌적 손해배상을 명할 권한이 있는지에 대해서는 더 부정적일 수 밖에 없다. 일부국가에서는 국내중재에 한하여 중재인이 징벌적 손해배상을 명할 수 있는 권한을 인정하는 추세에 있다.
국제중재 상황에서 징벌적 손해배상이 가능하려면, 우선 분쟁의 실체에 적용될 법에서 징벌적손해배상제도를 인정해야 하며, 중재의 절차에 적용될 법에서 중재인에게 징벌적 손해배상을명할 권한을 인정해야 한다. 또한 중재지에서 징벌적 손해배상이 공서를 위반하는 것으로 인정되면 중재판정이 취소될 수 있고, 집행지의 공서를 위반하면 중재판정의 승인 및 집행이 거부될 수 있다. 중재판정이 취소되거나 집행이 거부될 가능성이 있으면 중재인들은 징벌적 손해배상을 명하는 판정을 하려고 하지 않을 것이다. 이렇게 국제중재에서 징벌적 손해배상이 이루어지려면 여러 가지 법을 충족시켜야 하므로 아직까지는 국제중재에서 징벌적 손해배상을 명한판정을 찾기가 매우 어렵고, 당분간 그러한 일이 발생할 가능성도 매우 낮다고 판단된다. 그러나, 대륙법계 국가들 사이에서 징벌적 손해배상에 대한 반감이 줄어드는 추세에 있고, 외국 중재판정의 집행 요건인 공서의 기준이 완화되어야 한다는 주장이 늘어나고 있는 점을 볼 때, 멀지 않은 미래에 국제중재에서 징벌적 손해배상을 명하는 판정을 볼 수 있게 될 것이라고 조심스럽게 예측해 본다.
