URDG758의 실무적 활용을 위한 UCP600과의 비교 분석 = A Comparison of URDG758 with UCP600 to facilitate the use of URDG758

Applicable rules to demand guarantees are UCP600, ISP98 and URDG758, except where under local laws most cases are subject to one of these three rules. Despite a similarity that all these three rules acknowledge the "Independence Principle", they have slightly different stipulations, so experts on commercial L/C and demand guarantees should be well aware of the differences of the rules in their practices. This paper intends to focus on the differences and their comparative analysis mainly between UCP600 and URDG758.
Crucial differences between URDG758 and UCP600 can be described as follows. First, the beneficiary may present a demand from the time of issue of the guarantee or such later time or event as the guarantee provides under URDG758. Second, URDG758 narrowsthe extent to which conditions are regarded as non-documentary conditions. If the guarantor can determine the fulfillment of the condition from the guarantor's own records or from an index specified in the guarantee, such conditions will not be regarded as non-documentary conditions. Third, if a presentation indicates that it is incomplete, it can then be completed on or before expiry. Fourth, the guarantee can only be transferred for the full amount.
Special caution is required because UCP600 were originally for commercial L/C and they can undermine the interestsof the beneficiary when applied to demand guarantees. Provisions regarding force majeure and installment demand are such examples.

국문 초록 (Abstract)

대부분의 은행에서는 같은 부서에서 상업신용장과 청구보증서를 동시에 취급하고 있다. 특히 청구보증서에 적용하기 위하여 청구보증통일규칙(Uniform Rules for Demand Guarantees,이하에서는 URDG라고 함)이 제정되었으나 UCP600 또는 ISP98이 준거규칙으로 적용되는 경우도 종종 보이고 있다. UCP600은 국제상업회의소가 제정한 통일규칙 중 가장 오랜 역사와 더불어 널리 알려져 있으므로 청구보증서에서 준거규칙으로 사용되기도 한다. ISP98도 청구보증에 준거규칙으로 사용될 수 있으나 보다 심층적인 연구를 위하여 이 논문에서는 분석대상에서 제외하였다.
또한 실무자는 UCP600의 규정 내용은 일반적으로 잘 알고 있으나 URDG758의 규정 내용은 잘 모르는 경우가 대부분이다. URDG758은 URDG458을 개정하면서 UCP600의 규정 스타일을 채택한 것으로서 두 규칙간의 유사성이 더욱 늘어났다. 따라서 URDG758과 UCP600의 비교 설명은 실무자가 URDG758을 이해하는데 많은 도움이 될 것이다. URDG758과 UCP600은 기초계약으로부터의 독립성과 서류거래라는 공통된 특성으로 인하여 상당히 비슷한 규정이 있으나 상업신용장과 청구보증서의 사용목적과 거래관행이 달라서 상이한 점도 또한 있다. 특히 UCP600은 상업신용장에 주로 적용하기 위하여 제정된 통일규칙이므로 이를 청구보증서의 준거규칙으로 할 때에는 특정 조항의 적용 배제를 고려하여야 하므로 주의를 요한다.
URDG758에 대한 연구로는 박세운․한기문․허해관(2009,2010)의 선행연구가 있으나 개론적인 수준의 연구에 그치고 있으며, URDG758과 UCP600을 비교한 연구는 현재까지 없는 실정이다. 이처럼 URDG에 대한 연구가 부진한 것은 수년전까지만 해도 전 세계적으로 URDG를 준거규칙으로 한 은행보증이 거의 발행되지 않았기 때문이라고 생각된다.
URDG는 제정 역사가 짧아 업계에서는 이에 대한 이해 및 적용이 부진한 실정이다. 따라서 URDG에 대한 지속적인 연구와 업계에의 적극적인 홍보가 필요한 것으로 보인다. 특히 청구보증서에는 UCP600이나 현지법률 또는 영국법률을 적용하는 것보다 URDG758을 적용하는 것이 보증내용을 명확히 함으로써 당사자 간 분쟁 발생을 예방하고, 분쟁이 발생하였을 때에도 그 해결이 쉽다는 점 등이 이에 대한 연구와 홍보의 필요성을 가중시킨다.
특히 우리나라 기업의 해외활동에서 플랜트 수출이나 건설공사의 비중이 크고 우리나라 기업과 은행이 보증신청인과 구상보증인이 되므로 URDG758을 준거규칙으로 하는 것이 매우 중요하다고 하겠다. 그런데 영국에는 보증에 관한 성문법이 없고, 요르단과 시리아와 같은 국가에는 청구보증에 관한 국내법이 전혀 없으므로 영국 법 또는 현지 법률을 청구보증의 준거규칙으로 하는 것은 당사자 간 분쟁의 소지가 많다. 그러므로 본 연구에서는 URDG의 제정과 개정현황을 살펴보고, URDG758과 UCP600의 차이점을 연구하여, 보증 관련 당사자의 유의점을 도출하여 우리나라 학계와 실무계의 발전에 기여하는 것을 그 목적으로 한다. 본 연구는 성격상 문헌연구의 방법을 취하고 있다.
