      Ethical leadership is emerging as a source of corporate survival as the social demands for ethical business management increase, suggesting a new direction for corporate social relations and profit making behavior. Previous studies on leadership have focused on the personal characteristics and values of middle managers as the antecedents variables and their effects on the organizational performance. However, there is a lack of research on CEO's who play an important role in the decision making of the organization, including the economic profit that is essential for the social relations of the organization and the growth of the organization. From this point of view, this study presented the legitimacy and rationality as the antecedents factors based on institutionalization theory and rational choice theory at the organizational level. And to analyze the influence of these factors on CEO's ethical leadership and organizational performance and mediating role.
      In order to achieve the purpose of the research, first survey of corporate CEO and second corporation's net profit data of Korea Corporate Data Corporation were collected. As a result, the validity of the CEO's ethical leadership was found to have a positive effect on the CEO's ethical leadership and the rationality had a positive or negative influence. In addition, the CEO's ethical leadership has a positive effect on organizational performance. And, as a result of confirming the mediating role of CEO's ethical leadership, all of the relationship between legitimacy and organizational performance was supported, but the relationship between rationality and organizational performance was partially supported. Based on the results of this study, we discussed the theoretical and practical implications of CEO's ethical leadership at the organization level and the direction of future research.
