Residential facilities for the elderly are recognized as avoidance facilities that cause disconnection in the local community. We must try to change this perception. The elderly are members of the community where we live together, and the residential facilities for the elderly should be provided as a space where they can feel the experience of aging comfortably. To this end, we think that facility should be designed as a facility where we can live together. In order to do so, not only the elderly but also people of various ages should be able to use it, and we would like to propose a type of housing that the elderly can use without inconvenience.
진술 및 보증조항 위반 책임의 성질에 대한 한·중 비교법적 고찰 - 매도인의 고의·과실 요부 및 매수인의 악의·과실에 따른 책임 감면의 가부를 중심으로 -

When a breach of representations and warranties in M&A contract occurs, the breaching party may claim its non-negligence or bad faith·negligence of other party to reduce its liability. Discussions of whether these claims are acceptable leads to the question of how to determine the legal nature of the liability for breach of representations and warranties(R&W). In Korea, there is a debate on whether the liability for breach of R&W is warranty against defects or default liability. The Supreme Court of Korea agrees with the former, and denies the exemption of liability on the grounds of bad faith or negligence of a buyer, unless there are exceptional cases. Yet there is no Supreme Court precedent as to whether the liability for breach of R&W is liability without fault. On the other hand, Chinese precedent considers the liability for breach of R&W as warranty against defects. Thus, a seller’s liability is exempted if a buyer is aware of or should have known of a seller’s breach of R&W. However, Chinese court’s judgment on exemption depends on whether the breach of R&W is about the stock itself or the operating assets of the target company. Whether the liability for the breach of R&W is liability without fault is hardly discussed in China, because the liability for breach of contract does not require intention or negligence in Chinese law. This paper is of the opinion that it is reasonable to consider the liability for breach of R&W as default liability, and it coexists with warranty against defects, tort liability, etc. Warranty against defects should only be applied to the defects of the stock itself. In this case, to the extent that it does not coexist with warrant liability against defects, a seller is exempted if he proves his non-negligence. However, the exemption of liability for breach of R&W without negligence should be granted only in very exceptional cases, as most sellers already understand the contents of R&W. Reduction of the liability for breach of R&W on the grounds of the buyer’s bad faith should also be granted in a very exceptional case in accordance with bona fide doctrine, as in the precedent. As discussed above, differences in view on legal nature of the liability for breach of R&W have a significant impact on the parties in that they result in different judgements about whether to reduce the liability for breach of R&W. However, the discussions above are based on the premise that R&W clause is unclear, so it can be prevented in advance through specific agreement. Therefore, it is very important in M&A contracts to make specific and clear R&W clause, and there is no difference under the Chinese law.
지반 조건과 TBM 운영 파라미터를 고려한 디스크 커터 마모 예측

Tunnel Boring Machine (TBM) method is a tunnel excavation method that produces lower levels of noise and vibration during excavation compared to drilling and blasting methods, and it offers higher stability. It is increasingly being applied to tunnel projects worldwide. The disc cutter is an excavation tool mounted on the cutterhead of a TBM, which constantly interacts with the ground at the tunnel face, inevitably leading to wear. In this study quantitatively predicted disc cutter wear using geological conditions, TBM operational parameters, and machine learning algorithms. Among the input variables for predicting disc cutter wear, the Uniaxial Compressive Strength (UCS) is considerably limited compared to machine and wear data, so the UCS estimation for the entire section was first conducted using TBM machine data, and then the prediction of the Coefficient of Wearing rate(CW) was performed with the completed data. Comparing the performance of CW prediction models, the XGBoost model showed the highest performance, and SHapley Additive exPlanation (SHAP) analysis was conducted to interpret the complex prediction model.
