규제독점에 의한 혼합합병의 경쟁제한효과 = Anti-competitive Effects of Conglomerate Mergers by the Regulated Monopoly

Anti-competitive effects of conglomerate merger by the monopolist are mostly attributed to market foreclosure effects, the elimination of potential competitors and imperfect substitutes, and predatory pricing with enhanced financial basis. Analyses of anti-competitive effects in telecommunications and broadcasting markets are crucially dependent upon whether the monopolist is under ex ante regulation. Especially, in case the monopolist is under ex ante price reguation, the monopolist has strong incentives to circumvent price regulation by merging firms in unregulated sectors. This circumvention of regulation can be implemented by discriminating competitors in accessing monopolist services, selling bundled services or mis-allocating costs between regulated services and unregulated services Regarding these arguments, the virtually unconditional approval of the merger between KT and KTF could be critically reviewed as the anti-trust entities do not seem to seriously consider the substantial negative effects of the merger on ex ante regulation imposed on KT, especially on the regulation of accounting separation. These negative effects could cause anti-competitive results not only in the mobile telecommunications market but also other services markets that are already integrated by KT. Furthermore, the anti-trust entities do no strictly examine the special incentives of the monopolist under cost-based price regulation to restrain competition.

국문 초록 (Abstract)

독점적 기업에 의한 혼합합병의 경쟁제한효과는 주로 시장봉쇄효과, 잠재적 경쟁저해 가능성 및 불완전대체재의 제거, 그리고 자금력 강화를 통한 약탈적 가격설정 가능성 등으로부터 발생한다. 그런데 독점사업자에 의한 혼합합병의 경쟁제한성 논의는 독점적 사업자가 사전규제하에 있는지 여부에 따라 그 논의가 크게 달라진다. 특히, 독점기업의 서비스가격이 경쟁적 수준으로 규제되고 있을 경우, 비규제부문에서 가격규제를 우회하고 독점이윤을 취하고자 하는 유인이 존재한다. 이러한 규제우회는 독점투입물 이용에 대한 차별 또는 결합판매를 통하거나, 비용 오배분 및 상호보조를 통하여 비규제부문으로부터 규제부문으로의 비용을 이전함으로써 가능하다. 이와 관련하여 최근 공정위나 방통위가 KT의 KTF 합병의 경쟁제한성과 관련하여 내린 결론은 KT의 KTF 합병이 기존의 사전규제, 특히 그 핵심인 회계분리 규제에 미치는 부정적 영향과 그로 인해 발생하는 이동통신시장 외 여러 관련시장에 대한 경쟁제한효과가 제대로 평가되고 있지 못하고 있다. 특히, 비용기반의 요금규제를 받는 독점기업이 갖게 되는 특수한 경쟁제한 유인들에 대해 엄밀한 검토가 이루어지지 못하고 있는 점에서 비판적으로 평가될 수 있다.
