본 연구는 그동안 사회학과 경제학의 진영에서 양산되어온 기업에 관한 논의들을 정제하여 ‘기업사회학’이라 불릴 만한 사회학적 기업이론을 구축하는 데 목적이 있다. 이를 위하여 먼저 거래비용이론의 구조를 기본가정에서부터 효율 관할구조 선택 모델에 이르는 논리적 추론 단계별로 자세히 살펴보고, 이를 토대로 거래비용이론이 어떻게 기업의 존재를 설명하는지 살펴본다. 다음으로는 권력관계를 설명전략의 중심에 두어 효율성 중심의 설명을 지향하는 거래비용이론과 좋은 대조를 이루는 자원의존이론의 논리적 구조를 자세히 살펴보고 그것을 토대로 자원의존이론의 기업 설명을 유추해낸다. 그 다음 거래비용이론과 자원의존이론의 기업 설명 방식을 비교하고 양자간에 어떤 상호 비판이 가능하며 그것을 통해 양자가 어떻게 더 정밀해지고 풍부해질 수 있는가를 검토한다. 이것을 통해 두 이론이 각각의 설명원리를 가지고 기업의 존재를 설명하고자 하면서 누락시킨 논리적 연결고리가 무엇인지를 밝혀낼 수 있었고, 나아가 거래비용이론이 권력관계를 효율 관할구조 선택에 영향을 미치는 외생변수로 파악할 수 있는 가능성을 제시할 수 있었다. 두 이론 진영간의 이러한 대화와 상호작용은 그동안 경제사회학이 내걸었던 경제학과 사회학의 생산적 대화라는 모토가 어떻게 실천될 수 있는가를 보여줌과 아울러 그동안의 무성한 기업 논의들로부터 어떻게 ‘기업사회학’을 정초해낼 것인가에 대한 중대한 실마리를 제공해준다. The study aims to overview the logical structure of transaction cost economics, following step by step its theory-building processes from the behavioral assumptions to the efficiency model of ‘market and hierarchy.’ Then, how the explanation of the existence of the firm is derived from the ‘market and hierarchy’ model is scrutinized. The study also reviews the logical framework of resource dependence theory. In a stark contrast with transaction cost approach, it has been characterized as a power-oriented perspective which puts an emphasis on dependency and power relations among actors. Answer possibly given by resource-dependence theory to the question of ‘why the firm exists?’ is also examined. A comparison between the two explanations of the existence of the firm is proposed, followed by close examination of how the one theoretical perspective can criticize and enlighten the other. In so doing, we find out logical links which the two perspectives ignore but are crucial in explaining the mechanism leading to the existence of the firm. In addition, the authors demonstrate that it is possible for transaction cost economics to bring in power relations as an exogenous variable affecting logical results of the ‘market and hierarchy’ model. Dialogues and interactions between these two theoretical camps could be a great contribution in consolidating the foundation of ‘a sociological theory of the firms.’
