It has passed almost twenty years since the promulgation of the present commercial code (the exact date of promulgation was January 20, 1962). These two decades have seen rapid political, cultural, and eco-social changes in our country, and particularly the growth and development in the industrial and business world, which is the main object of the code's regulation, have been quite noticeable. In its initial years of execution, the present code could not escape a considerable criticism from those who seriously questioned the adaptibility of the Anglo-American legal system which was considered too advanced to our economical system that had been heavily influenced by the continental, particularly German legal tradition for a long time. However, those criticisms have turned out to be the merely old worries of the past mainly owing to the miraculous successes of a series of national economic plans which were well executed. Paradoxically, the current situation we are facing today rather demands for some revisions or modifications in the code to cope with the newly developed changes properly. Frankly recognizing that there are some irrational points in the code which have been repeatedly pointed out its unfitness to our situation a movement for the revision of the code before the end of year has recently gained a momentum, Since I firmly believe that the problems of the corporational portion in the code should be given an immediate attention, the main purpose of this thesis is to analyze the major problems of the managerial a structure, particularly the organs of the corporation while attempting to explore some workable strategies to alleviate the significance of the problems in the legislative point of view.

Recently in Korea, much research have been done on ubiquitous computing age model. Ubiquitous computing is defined as a computing environment that is not bounded by time and space. With diverse kinds of computer embedded in artifacts and devices, people can be connected everywhere and everytime. In this paper, we suggest service-infrastructure accepting sound information for efficient context-awareness of home networking system. In the concrete, voice, temperature, humidity, and weather factors are assessed to emphasize user's emotion. Ontology Web Language(OWL) is implemented to build ontology and emotional inference engine, Jena, is adopted. This suggested modeling can help various scenarios of context-aware based services become possible in the future. More research on development of an interface to provide active service using context information is emphasized.
